Century-old LaLiga club, stadium construction frozen since 2009, financing finally sorted, cranes back on site, a confirmed 2027 opening. Great narrative. Turns out that&#8217;s not the same thing as an investment case, and I had to get most of the way through the model before that actually sank in.</span></p><p><span>This isn&#8217;t the memo. Legacy debt is gone, replaced by a &#8364;121M USPP facility. A &#8364;322M securitization, Goldman-arranged, investment-grade, closed in June 2025. Construction resumed. 2026/27 is confirmed as the last season at the old Mestalla before the move to a 70,000-plus-seat ground.</span></p><p><span>My first draft leaned on all of that as the thesis: the market&#8217;s pricing Valencia like a frozen asset and hasn&#8217;t updated. A reviewer flagged it fast. Removing a financing constraint doesn&#8217;t create equity value by itself &#8212; it just makes it possible for something else to. I didn&#8217;t really believe that until I ran the sensitivity analysis and watched debt-level uncertainty come out with about a tenth of the influence of sporting performance and exit multiple. I&#8217;d built two-thirds of a memo around a variable that barely moves the outcome.</span></p><h1><span>The number I kept avoiding</span></h1><p><span>One of the conditions in my own review notes was to build the post-stadium revenue estimate from the ground up &#8212; actual capacity, real attendance figures &#8212; instead of just anchoring to Kiat Lim&#8217;s public line about revenue &#8220;more than tripling.&#8221; I put this off for longer than I&#8217;d like to admit. Partly because it&#8217;s genuinely tedious work, pulling season-ticket pricing and comparable-club uplift data one line at a time. Partly because some part of me suspected it wasn&#8217;t going to be kind to the number I already liked.</span></p><p><span>It wasn&#8217;t. Management&#8217;s guidance implies something like a 2.8x&#8211;3.3x revenue multiplier. My own bottom-up build, using Mestalla&#8217;s actual occupancy rate &#8212; currently the highest in LaLiga &#8212; and conservative comps for hospitality and sponsorship, came out at 1.44x. About half. Run that lower figure through the same exit-multiple and debt ranges I&#8217;d used for the bull case and seven of nine scenarios go negative. The probability of negative equity in my full simulation jumped from 16.5% to 79%.</span></p><p><span>That&#8217;s the point where the memo stopped being a pitch. The two P50s &#8212; roughly +&#8364;216M off management&#8217;s number, roughly &#8211;&#8364;119M off mine &#8212; both sit in the final version, next to each other, because there&#8217;s no public data that tells you which one is closer to true. The whole case rests on believing one sentence from ownership or not.</span></p><h1><span>The risk I was proudest of, and why it barely mattered the way I thought</span></h1><p><span>I put a disproportionate amount of time into the relegation scenario, expecting it to be the standout finding. It is grim &#8212; median equity around &#8211;&#8364;346M, close to a write-off. But I got the mechanism wrong at first. I assumed the damage mostly came from the stadium ramp stalling out: sponsors backing off, hospitality sales slowing. So I stress-tested that assumption, running the ramp haircut anywhere from 20% to 50%.</span></p><p><span>Nothing moved. Same median, same negative probability, at every level. For about an hour I thought I&#8217;d broken something. What was actually happening: the relegation-tier exit multiple alone, with zero ramp penalty applied, already produces a median enterprise value that&#8217;s underwater against the debt. The multiple does the killing, not the ramp. Which means the input I should be nervous about isn&#8217;t the one I spent days on &#8212; it&#8217;s the relegation multiple range itself, and there&#8217;s basically no clean transaction data for relegated-club sales to check it against, because they&#8217;re rare and badly documented.</span></p><h1><span>The test that actually unsettled me</span></h1><p><span>Late in the process I ran what I&#8217;d been calling, in my own notes, the &#8220;nothing dramatic happens&#8221; test. Force every trial into a permanently mid-table finish. No relegation, ever. No Champions League, ever. Just Valencia being roughly what Valencia has been for most of the last decade.</span></p><p><span>Still an 11.5% chance of negative equity, with a fifth-percentile outcome around &#8211;&#8364;51M. Nothing has to go wrong for this to lose money. That one result did more to change how I think about the position than the relegation case did &#8212; this is a highly levered structure sitting on top of a commercial operation that hasn&#8217;t proven it can do the thing it needs to do, and the bad outcome doesn&#8217;t require a catastrophe. It&#8217;s available by default.</span></p><h1><span>What I left alone rather than fake</span></h1><p><span>Some gaps I couldn&#8217;t close no matter how I sliced the public data &#8212; the actual debt-service and covenant terms on the securitization, who&#8217;s on the hook for the roughly &#8364;34M construction overrun an independent city-council audit flagged, whether ownership has any binding obligation to put in more capital if costs run over. Toward the end, with most of the model finished and looking solid, it got tempting to just plug in a reasonable-sounding estimate for each of these and move on. I left them open instead. A made-up number would have made the memo look more finished. It also would have made it worse.</span></p><h1><span>Where I landed</span></h1><p><span>Conditional approval for further diligence, not a green light. The financing genuinely fixed a real problem. It just isn&#8217;t the thing that decides whether the equity is worth anything &#8212; that comes down to whether Valencia&#8217;s commercial side, historically the club&#8217;s weak point, can turn 70,000 seats into revenue at something closer to what ownership is promising than what a conservative capacity build supports.</span></p><p><span>I&#8217;ve kept the full memo as a working document rather than cleaning it up for wide circulation &#8212; the tier-correlated Monte Carlo, the nine-scenario tables, the bottom-up build line by line, and the full list of what&#8217;s still open. Cheaper development, faster shipping, fatter margins the story practically wrote itself. Every SaaS earnings call for the last two years has leaned on some version of it: we&#8217;re using AI internally, our roadmap velocity is up, our margins will follow.</p><p>They haven&#8217;t followed. And I don&#8217;t think they&#8217;re going to.</p><p>Here&#8217;s the part nobody on those calls wants to say out loud: the same force that makes it cheap for <em>you</em> to build software makes it cheap for everyone else too. Including your competitor. Watt&#8217;s steam engine made coal </p><p>burning dramatically more efficient. Efficiency should mean less coal gets used to do the same amount of work, right? Instead, total coal consumption exploded. Cheaper energy per unit didn&#8217;t reduce demand, it multiplied the number of things worth doing with energy at all. Factories that made no economic sense at old efficiency levels suddenly made sense at the new one. Demand didn&#8217;t just adjust to the savings. It ate the savings and kept growing.</p><p>Code generation is doing the same thing to software, except the &#8220;coal&#8221; here is engineering time, and the multiplication is happening at a pace Jevons never had to reckon with.</p><p>For forty years, custom software was expensive to build. That expense was the moat. If it costs $2 million and eighteen months to build a mediocre CRM, then a company selling a good one at $150 a seat has a business, because the alternative build it yourself is worse on every axis. The entire SaaS industry is a monument to how expensive bespoke code used to be. You weren&#8217;t paying for software. You were paying to avoid building software.</p><p>That premium is the thing dying right now.</p><h2>What actually changed</h2><p>It&#8217;s not that AI writes perfect code. It doesn&#8217;t, and the people who tell you it does are usually selling something. What changed is the marginal cost of a working, &#8220;good enough&#8221; internal tool dropped from six figures to roughly zero. A product manager with no engineering background can describe a workflow to a coding agent on a Tuesday afternoon and have an internal app running by Wednesday. Not elegant. Not infinitely scalable. Good enough, which is all a huge percentage of SaaS spend was ever buying.</p><p>Think about what a shocking share of enterprise software is: a CRUD app with a login screen, some role permissions, a dashboard, and an integration or two. That category approvals tools, intake forms, internal trackers, lightweight ops dashboards, half of what &#8220;vertical SaaS&#8221; even means, is the first casualty. Not because the AI is brilliant. Because the bar was low and the AI cleared it.</p><p>This is the Jevons move. Cheaper software-building doesn&#8217;t shrink demand for software. It explodes the number of things worth building. But, and here&#8217;s the twist that SaaS companies aren&#8217;t pricing in, most of that new demand doesn&#8217;t route through them. It routes around them, into homegrown tools built by the customer, or into thin wrapper products built by a two-person team that would have needed forty engineers five years ago.</p><h2>The commoditization nobody priced in</h2><p>Every SaaS company&#8217;s pitch has a hidden assumption baked into it: <em>building this yourself is harder than buying it from us.</em> AI is quietly deleting that assumption category by category.</p><p>Look at what&#8217;s happening to the tools that build software itself. Two years ago, an AI coding assistant was a $20 a month add on riding shotgun in your IDE, mostly autocompleting the boring parts. Now the frontier products are autonomous agents that take a ticket and hand back a pull request. The functionality that used to be the differentiator  &#8220;we help you code faster&#8221;  is becoming table stakes baked into every IDE, every terminal, every git host. The moat wasn&#8217;t a moat. It was a temporary information asymmetry about how to prompt a language model, and that asymmetry has a shelf life measured in months.</p><p>Watch what&#8217;s happening to pricing structure instead of features, because that&#8217;s where the real tell is. Seat based SaaS pricing assumes the bottleneck is human attention one person, one login, one unit of value extracted per month. That assumption dies the moment the primary &#8220;user&#8221; of a product is an autonomous agent that can burn through a thousand actions before lunch. You can&#8217;t charge per seat for a system where the seat is a loop of API calls. So the pricing model is quietly flipping to something that looks a lot less like software and a lot more like a utility bill: prepaid token budgets, consumption tiers, usage based draw-downs. Anthropic, OpenAI, and increasingly the SaaS incumbents layering agents into their own products are all migrating toward metering compute the way a power company meters kilowatt-hours.</p><p>That&#8217;s not a pricing experiment. That&#8217;s a confession. When you switch from &#8220;pay us monthly for access to the tool&#8221; to &#8220;pay us per unit of work the tool does,&#8221; you&#8217;re admitting the tool itself isn&#8217;t the scarce thing anymore. The compute is. And compute is a commodity that gets cheaper every quarter, which means today&#8217;s premium token price is next year&#8217;s rounding error, the same way a gigabyte of storage went from a luxury to a joke over twenty years.</p><h2>Where the margin actually goes</h2><p>If code and the tools that write it are both getting commoditized, the obvious question is: where does value accrue? Not nowhere, value doesn&#8217;t vanish, it relocates.</p><p>It&#8217;s moving toward three places, and none of them is &#8220;the software layer&#8221; as SaaS has historically defined it.</p><p>First, the compute layer, the labs and cloud providers who own the actual inference capacity. This is why Nvidia, and the hyper scalers building out data centers at a pace that looks unhinged until you remember Jevons, are capturing so much of the value chain right now. They&#8217;re selling the coal, not the engine.</p><p>Second, distribution and trust, the accumulated relationship, the compliance certifications, the integration debt a large enterprise has with an incumbent vendor. This is real, and it&#8217;s the one thing AI doesn&#8217;t commoditize quickly. It&#8217;s also not a <em>software</em> moat. It&#8217;s a <em>relationship</em> moat wearing software&#8217;s clothes. Salesforce doesn&#8217;t survive because its code is hard to replicate. It survives because ripping it out of a Fortune 500 company&#8217;s operations is a two year project nobody wants to own.</p><p>Third, judgment about what to build, the increasingly rare skill of knowing which of the infinite now-buildable things is actually worth building, for whom, at what price. When the cost of execution goes to zero, the scarce resource becomes taste and specificity: understanding one narrow, painful workflow well enough that your product fits it exactly, rather than shipping the generic version and hoping volume covers the gap.</p><p>Everything in between, the generic CRUD app, the somewhat differentiated dashboard, the &#8220;AI powered&#8221; feature that&#8217;s really a thin prompt wrapped in a UI,  is getting squeezed from both directions. Too easy to build in house to justify the SaaS premium, too undifferentiated to defend against the next wrapper startup that ships the same idea in a weekend.</p><h2>The utility pivot is the tell</h2><p>Watch the pricing pages, not the keynote slides. When a company that used to sell you a flat monthly seat starts selling you a bucket of credits that drains based on usage, they&#8217;re telling you something true even if their marketing won&#8217;t: the software isn&#8217;t the product anymore. The compute running underneath it is. They&#8217;ve stopped pretending to sell you a tool and started billing you like a utility, because that&#8217;s what they&#8217;ve actually become, a metered pipe between you and a model that a dozen other companies can also plug you into.</p><p>That&#8217;s not a failure of AI to deliver on its promise to software companies. It delivered exactly what it promised: it made building software radically cheaper. Nobody read the fine print on what cheaper production does to a business built entirely on production being expensive.</p><p>Jevons watched steam engines burn more coal, not less, once efficiency made burning coal make sense in more places. Software is about to burn through the same paradox. More code will get written this year than in the entire previous history of computing, most of it outside the companies that used to have a monopoly on writing code well. And the individual line of that code, the thing SaaS margins were built on protecting, will be worth close to nothing.</p><p>The moat didn&#8217;t get breached. Unlike software startups that scale using virtual cloud space, memory manufacturers require massive, capital-intensive physical infrastructure. SK Hynix has explicitly earmarked the vast majority of these funds for physical factory expansion, cleanroom assembly lines, and advanced silicon packaging facilities.</span></p><p><span>A primary destination for this capital is the massive Yongin Semiconductor Mega Cluster in South Korea. The company is rapidly accelerating construction on specialized production lines designed exclusively for high-bandwidth memory (HBM). These ultra-fast, multi-layered memory stacks act as the crucial data pipeline for advanced data centers. Without this specific type of high-density memory, the high-performance computing clusters used to train neural networks and process massive datasets run into severe operational bottlenecks.</span></p><p><span>Furthermore, a significant portion of the Nasdaq proceeds will fund advanced chip packaging infrastructure, including domestic research facilities within the United States. Packaging has become the modern battleground for silicon performance. As physical limitations make it harder to shrink individual transistors, the way memory chips are stacked and interconnected directly dictates overall system speeds. By building out physical factory capacity today, SK Hynix is betting that global corporate demand for data center infrastructure will remain insatiable for the next decade.</span></p><h1><span>Structural Ripples Across Nvidia and Micron</span></h1><p><span>SK Hynix&#8217;s massive financial windfall alters the competitive landscape for its primary rivals and partners, reshaping market dynamics for Nvidia and Micron.</span></p><p><span>For Nvidia, the undisputed king of data center processors, SK Hynix&#8217;s successful capital raise is a major victory. Nvidia does not manufacture its own silicon; it relies on a tightly knit ecosystem of premium suppliers. A processor is only as fast as the memory feeding it data. By securing a multi-billion-dollar expansion of HBM production lines, Nvidia guarantees a steady, scalable supply of high-end memory components for its next-generation data center architectures. This liquidity reduces supply-chain friction, ensuring that Nvidia can continue to fulfill massive backlogs of orders from global cloud providers without facing component shortages.</span></p><p><span>Conversely, for Micron Technology, the leading U.S.-based memory manufacturer, this development signals an era of intense capital warfare. Micron has made significant strides in capturing market share with its own low-power, high-efficiency memory architectures. A stablecoin is just a token on a blockchain pegged to the dollar, usually Tether&#8217;s USDT or Circle&#8217;s USDC, backed by reserves of cash and short-term Treasury bills. You don&#8217;t need a bank. You need a phone and an internet connection.</p><p>The scale this has reached is easy to undersell. The total stablecoin market now sits above $322 billion, larger than the foreign exchange reserves of 95 countries, including the UK and Canada. Transaction volume hit roughly $33 trillion in 2025, up 72 percent year over year, and by some estimates as much as two-thirds of all stablecoin supply is held in emerging markets rather than by traders in New York or London. Chainalysis puts stablecoin purchases at over half of all exchange activity for the Argentine peso. In Turkey, stablecoin purchases in 2024 alone equaled more than 4 percent of GDP, the highest ratio of any country in the world.</p><h2>Central banks tried to compete, and lost</h2><p>Some governments saw this coming and tried to build their own alternative: a central bank digital currency that would keep citizens inside the national monetary system while offering some of the same convenience. Nigeria was among the first movers, launching the eNaira in October 2021. By 2023, only about 0.5 percent of Nigerians had ever used it, and 98.5 percent of the wallets that had been opened sat completely inactive. People didn&#8217;t want a digital version of a currency they no longer trusted. They wanted digital dollars, and they found a way to get them whether or not the government approved.</p><p>This is the part that should unsettle the de-dollarization crowd. A national government can restrict access to foreign currency, close down illegal parallel markets, and lean on domestic banks to enforce capital controls. It is far harder to stop a citizen from installing a wallet app and buying USDT peer-to-peer. Nigeria has tried, at various points, to restrict crypto exchanges outright. Stablecoin volume in the country still hit an estimated $26 billion in 2024, most of it flowing through import and export financing that routes around the official, and heavily rationed, foreign exchange market.</p><h2>The regulatory twist nobody saw coming</h2><p>Here is where the story gets stranger. In the United States, the GENIUS Act, passed in 2025, gave stablecoin issuers a legal framework for the first time: full backing required in cash and short-term Treasuries, registration as regulated payment instruments, anti-money-laundering compliance. Rather than slowing the trade down, regulatory clarity accelerated it. Visa began settling billions in stablecoins as part of its core operations. Stripe bought stablecoin infrastructure company Bridge for $1.1 billion. Mastercard acquired BVNK. Western Union and MoneyGram both announced their own dollar-stablecoin products, citing the new law directly as the reason they finally felt comfortable moving.</p><p>Every one of those stablecoins in circulation needs to be backed by something, and issuers like Tether and Circle now hold tens of billions of dollars in short-term US government debt to back their tokens. A Nigerian trader buying USDT to protect her savings from the naira is, indirectly, helping fund the US government&#8217;s borrowing. A Turkish saver converting lira into Tether is doing the same thing. The dollar is not just remaining the reserve currency of central banks; it is becoming the retail savings currency of hundreds of millions of individuals who have no say in, and often no interest in, American monetary policy. That is a form of dollar demand no Treasury auction or Fed policy meeting could manufacture on its own.</p><h2>Two systems working against each other</h2><p>BRICS de-dollarization, as a project, is a top-down negotiation between states: bilateral currency swap lines, settlement systems like China&#8217;s CIPS as an alternative to SWIFT, oil contracts denominated in yuan or rupees. It is slow, politically fraught, and constantly undercut by the fact that none of the participating currencies are fully convertible or trusted as a store of value the way the dollar is. Even Brazil, a founding BRICS member, has one of the highest shares of stablecoin activity in its own crypto markets, at nearly 60 percent, just below Argentina&#8217;s.</p><p>Stablecoin adoption is the opposite: bottom-up, apolitical, driven entirely by individual decisions made under economic duress. Nobody in Lagos or Buenos Aires is buying USDT to make a statement about American power. They are buying it because the alternative is watching their savings evaporate. But the aggregate effect of millions of those individual decisions is a stronger, more entrenched dollar than any BRICS summit is capable of dismantling.</p><p>The IMF flagged this tension in a December 2025 warning, noting that dollar-pegged stablecoins could trigger currency substitution and capital outflows in already vulnerable economies. Standard Chartered estimates as much as $1 trillion could move out of emerging-market bank deposits and into stablecoins over the next three years, concentrated in countries like Pakistan and Egypt. Many companies experimenting with AI still struggle to convert usage into meaningful economic returns. Consumer engagement remains high, but monetization remains uneven. Enterprise deployment often moves slower than market enthusiasm. And increasingly, AI firms compete in ways that compress margins rather than expand them. For years the story was expansion: rising GDP, booming startups, surging consumption, and megaprojects aimed at turning India into the world&#8217;s fastest growing major economy. Today, the rhetoric has shifted. The emphasis is less about sheer speed and more about protection, cushioning the economy against repeated external shocks.</p><p><strong>Why the shift makes sense</strong></p><p>Since 2020 the global economy has been jolted repeatedly. The COVID-19 pandemic broke supply chains. Russia&#8217;s invasion of Ukraine disrupted energy and food markets. Red Sea and shipping-route instability threatened trade.
