There is a sentence that has been rattling around American public life for years because it manages to be legally defensible, philosophically weird and almost perfectly engineered to make half the population choke on whatever they were drinking.

“Corporations are people, my friend.”

Mitt Romney said it at the Iowa State Fair in 2011 while arguing that corporate earnings ultimately flow to human beings. The crowd immediately objected, because even by the standards of political messaging, telling ordinary voters that JPMorgan Chase is essentially their neighbor Steve was always going to require some follow-up. Romney’s larger point wasn’t completely ridiculous. Yes, corporations are made up of people. They employ people. They’re owned by people. Their profits eventually benefit some collection of people, although the precise collection and distribution thereof is where things occasionally become… let’s call it, sporty.

But legally, the statement points toward something much stranger.

American law really does treat corporations as persons for certain purposes.

Not human beings. Not citizens wandering around with Social Security numbers and complicated relationships with their fathers. “Legal persons.” Artificial entities capable of owning property, entering contracts, borrowing money, suing, being sued and continuing to exist independently of the particular humans who currently own them. And honestly, some form of this makes perfect sense, particularly when you consider corporations that have longevity, such as Procter & Gamble, which has been around for getting close to two centuries, continue to do business even though their meatware tends to expire along generational lines.

The trouble begins when our imaginary friend starts asking for constitutional rights.

At which point we’d like “Kevin from Consolidated Petrochemical Holdings” to please sit down because we have several questions.

First, Why Did We Invent Fake People?

Imagine trying to run a large business if every contract had to be personally renegotiated whenever an owner died, sold their shares or wandered into the sea.

This would be inconvenient.

So the law developed a very useful abstraction: the corporation could exist as an entity separate from the humans behind it.

The corporation could own the factory.
The corporation could borrow money.
The corporation could sign contracts.
The corporation could sue Gerald.
Gerald could sue the corporation.
And critically, Gerald would not have to determine which 147,000 shareholders personally owned the loading dock that dropped a forklift on his Buick.

This concept goes back a long way. In the 1819 Dartmouth College v. Woodward case, Chief Justice John Marshall famously described a corporation as an artificial being that exists in contemplation of law. Corporations could possess rights, privileges and capacities separate from the natural people composing them. (Legal Information Institute)

This is genuinely useful legal technology.

Corporation-as-person began as an abstraction that allows groups of humans to accomplish things collectively.

Over time, courts faced an increasingly awkward question.

If a corporation is legally separate from its owners, what protections does it receive?

Some answers are intuitive.

Other protections followed in various contexts, including speech.

But corporations don’t get all the rights actual humans do.

Here’s where corporations start getting upgrades unavailable to the rest of us.

Corporations can have perpetual existence.

Actual humans generally cannot. (We’ve looked into it.)

Shareholders can come and go while the corporation continues. Ownership can change through stock transactions. Corporate assets remain separate from owners’ personal assets, and the corporate structure generally provides shareholders with limited liability for corporate obligations. Think about what an extraordinary invention this is.

We created a fictional person that can accumulate property, enter contracts, borrow enormous amounts of money and potentially exist for centuries.

Then we gave its owners a degree of insulation from its liabilities.

Imagine explaining this arrangement to an actual person.

“So Kevin can potentially live forever?”

Correct.

“And he can become enormously wealthy?”

Yes.

“And if Kevin owes a lot of money, the people who own Kevin generally aren’t personally responsible for Kevin’s debts?”

Broadly, yes.

“And Kevin has certain constitutional protections?”

Also yes.

“Can I become Kevin?”

No, Susan. You have organs.

So Mitt Romney Walks Into the Iowa State Fair…

This brings us back to 2011.

Romney was discussing taxes and entitlement programs when someone in the crowd suggested taxing corporations. Romney responded:

“Corporations are people, my friend.”

He then clarified that corporate earnings ultimately go into the pockets of human beings. (TPM – Talking Points Memo)

Taken literally, the underlying economic point is straightforward: corporations aren’t magical vaults into which money disappears. Employees receive wages. Executives receive compensation. Suppliers get paid. Shareholders receive dividends and capital appreciation. Governments collect taxes.

Money eventually reaches humans.

But that still doesn’t make the corporation itself biologically equivalent to a human being any more than saying “hospitals contain people” means Stanford Medical Center should be eligible for a colonoscopy.

The important distinction is between natural persons and artificial legal persons.

And once you make that distinction, the much more interesting question appears.

Not:

Are corporations people?

But:

Which rights should artificial people receive, and which responsibilities should accompany them?

Now we’re somewhere useful.

And potentially armed.

Rights Meet the Industrial-Strength Megaphone

The question becomes especially important when corporate rights collide with political participation.

In Citizens United v. FEC in 2010, the Supreme Court held that the First Amendment prohibits suppressing political speech based on the speaker’s corporate identity, striking down restrictions on independent corporate political expenditures. The Court’s reasoning built on earlier cases recognizing First Amendment protection for corporate speech. (Legal Information Institute)

We’ll dig much deeper into Citizens United tomorrow, because that’s an entire casserole of institutional weirdness by itself.

For today, notice the structural problem.

A natural person might possess $800 they could conceivably devote to political advocacy after groceries, rent, healthcare and whatever horrifying thing happened to the car this month.

An artificial person may possess $80 billion.

Both possess speech interests.

One possesses a megaphone.

The other possesses every television station between here and Albuquerque.

The question therefore isn’t simply whether speech should be protected. It is what happens when rights originally understood in a world of biological humans operate through artificial entities capable of accumulating resources on a scale no individual human could plausibly match.

That’s not necessarily an argument for one particular legal answer.

It is an argument for recognizing that formal equality of rights does not necessarily produce equality of power.

Kevin has a media budget.

Susan has Facebook.

Godspeed, Susan.

Now Let’s Commit a Crime

This is where the corporate-person analogy becomes particularly entertaining.

Suppose I contaminate a river.

This would be bad.

If prosecutors can establish that I knowingly violated criminal law, the government can prosecute me personally. Depending on the crime and circumstances, I could face fines, restitution, probation and potentially prison.

Now suppose International Consolidated River Poisoning Holdings LLC contaminates the river.

Corporations can absolutely be prosecuted criminally. Federal law and Justice Department policy contemplate corporate criminal liability, and DOJ specifically emphasizes that prosecuting a company should not substitute for prosecuting culpable individuals when individual charges can be proven. So the popular formulation that corporations “can’t be prosecuted” isn’t correct.

They can.

The more interesting problem is what punishment means when applied to an artificial entity.

You cannot imprison a corporation.

There is no maximum-security business park where Enron serves twenty-to-life next to a particularly violent regional Arby’s franchise.

You cannot confiscate International Consolidated River Poisoning Holdings LLC’s shoelaces.

You cannot put it in solitary confinement.

You cannot make a major oil company pick up trash beside the freeway on Saturday mornings while a probation officer named Carl checks whether it has been drinking.

Corporate punishment therefore tends to operate through financial penalties, restitution, compliance requirements, monitors, restrictions and, in serious cases, prosecution or other enforcement mechanisms.

And financial punishment creates an obvious question:

How large does a fine have to be before an organization actually experiences it as punishment rather than accounting?

If I receive a $50,000 fine, my life has undergone what economists technically call a significant f—king development.

If a corporation earning billions receives a penalty representing a manageable fraction of annual revenue, Finance may classify the experience rather differently.

That doesn’t mean every corporate fine is trivial. Some are enormous and consequential.

It means punishment has to be evaluated relative to the entity being punished.

A mosquito and an elephant can both be hit with a newspaper.

Only one will reconsider its behavior.

The Accountability Escape Hatch

There is another complication.

Corporations don’t make decisions.

People make decisions through corporations.

The corporation itself cannot wake up at 5:30 a.m., drink coffee and decide:

“You know what? Today feels like a securities-fraud day.”

Some human or collection of humans has to make choices, approve practices, design incentives or fail to intervene.

But large organizations distribute decision-making across executives, boards, managers, committees, departments, subsidiaries, consultants and legal structures.

That can make individual responsibility difficult to establish.

The organization may clearly have produced harm while identifying one particular biological human who satisfies the legal requirements for criminal culpability can be much harder.

DOJ policy explicitly recognizes this distinction: corporations may face prosecution, but prosecutors are also directed to evaluate potentially culpable individuals separately. Its new department-wide corporate enforcement policy, issued in March 2026, likewise emphasizes incentives for companies to self-disclose misconduct while pursuing individual wrongdoers. This creates one of the strangest properties of large organizations.

Responsibility can be distributed more efficiently than authority.

Everyone participated.

Nobody quite did it.

The meeting notes are inconclusive.

Legal has concerns.

Gerald left the company in 2024.

The river remains purple.

This Is the Part We Don’t Usually Talk About

Corporate personhood is often discussed as though someone in 1886 slammed a gavel and declared:

“BY THE POWER VESTED IN ME, STANDARD OIL IS NOW A BOY.”

That’s not really what happened.

Corporate rights developed incrementally through statutes and court decisions addressing specific legal questions. The result isn’t that corporations became identical to humans. The result is a patchwork in which artificial entities possess some rights, lack others and enjoy structural characteristics that natural people simply don’t have. (Legal Information Institute)

And this is where the conversation becomes much more productive.

The corporation itself is not inherently evil.

“Excellent machine. Therefore no brakes.”

Hawaii Asks Kevin to Please Stay Out of Politics

And interestingly, this debate is very much alive.

In 2026, Hawaii legislators considered SB 2471, legislation explicitly addressing the powers of what it calls “artificial persons.” Its legislative findings argue that corporations and other artificial entities are creatures of state law whose granted powers can be defined by the state, and the bill seeks to exclude political spending from those state-granted corporate powers. Whether that particular legal approach ultimately survives constitutional scrutiny is a separate question.

But conceptually, it puts the argument exactly where it belongs.

Not:

“Corporations aren’t real.”

They plainly are.

The question is:

What powers should we grant these artificial entities, given the extraordinary advantages the corporate form already provides?

That’s a much harder question.

Which is presumably why we’ve spent considerably more time arguing about whether they’re people.

So What Can an Actual Person Do?

For ordinary citizens, the corporate-personhood debate can feel hopelessly abstract, like something attorneys discuss inside mahogany rooms while billing in six-minute increments.

But artificial persons ultimately operate within systems created by natural ones.

States charter corporations and define corporate powers. Legislatures create disclosure and accountability rules. Regulators enforce laws. Courts interpret constitutional boundaries. Shareholders can vote and pressure boards. Employees can expose misconduct. Consumers can sometimes move spending. Journalists can investigate. Citizens can support campaign-finance rules and structural reforms they believe produce healthier incentives.

None of these mechanisms is magical. Consumer boycotts don’t topple multinational corporations every Tuesday. Shareholder activism has limitations. Regulation can be captured. Political reform can move with the urgency of a sedated tortoise carrying a sectional sofa.

But systems change when the incentives governing them change.

That means the useful question whenever a corporation behaves badly isn’t simply:

“Why would they do this?”

Ask instead:

Who made the decision? Who benefited? Who bore the cost? What consequence followed? And was that consequence large enough to change the next decision?

Those questions get underneath the logo.

And underneath every logo are people.

Actual ones.

Y’know… with spleens.

Final Thought: Rights Are Only Half the Person

The invention of the corporation is one of the most consequential pieces of social technology humans ever created.

We figured out how to build an organization that can own property, accumulate capital, enter contracts, outlive its founders, distribute ownership across millions of people and coordinate activity on a planetary scale.

That’s extraordinary.

The problem isn’t that corporations have legal personhood. Some version of legal personhood is practically necessary for corporations to function.

The problem arises when we discuss the rights of artificial persons without paying equal attention to their responsibilities, incentives and extraordinary structural advantages.

Because personhood, in ordinary human society, comes with both.

You can own property.
You can speak.
You can organize.
You can participate politically.

But you can also be personally fined, sued, prosecuted, imprisoned and held accountable for your behavior in ways an immortal legal abstraction cannot experience.

That asymmetry deserves scrutiny.

So perhaps Mitt Romney was onto something after all.

Corporations are people, my friend.

Fine.

Then Kevin needs boundaries.

Kevin needs consequences.

Kevin needs supervision.

And depending on what happened to the river, Kevin may need his f—king car keys taken away.

But there is a toaster sitting on your kitchen counter.

You probably don’t think about it very much. You insert bread, depress the little lever, and approximately 90 seconds later it returns the bread hotter, browner and substantially more dangerous to the roof of your mouth.

You paid $29.95 for it.

This seems reasonable until you consider what had to happen for that toaster to exist.

Somebody mined the metals. Somebody refined them. Somebody manufactured the heating elements. Somebody made the plastic housing from petrochemicals extracted somewhere else. Somebody made the circuit board. Somebody else made the cord, switch, screws, springs, packaging and the little plastic knob that will inexplicably break three months after the warranty expires.

Those parts may have traveled between several factories before the toaster itself was assembled. Then somebody inspected it, packed it into a box, packed that box into a larger box, put those boxes onto pallets, put the pallets into a shipping container (yet another box), put the container onto a truck, moved it to a port, lifted it onto a ship containing several thousand other containers, transported it across an ocean, unloaded it at another port, cleared it through customs, moved it through warehouses and distribution centers, loaded it onto another truck and eventually placed it on a shelf where you looked at the price and said:

“Thirty bucks? Seems high.”

Let’s be real.
Your toaster has seen some sh!t.

And the system responsible for getting it into your kitchen is called a supply chain.

Supply Chain: A Definition Involving an Alarming Number of People

A supply chain is the network of organizations, resources, activities and information involved in producing something and delivering it to the eventual customer.

The word chain makes this sound wonderfully linear.

Mine → factory → ship → store → you.

Modern supply chains are usually closer to the conspiracy board in a detective movie (after the detective has stopped sleeping, or at least sobered up).

A single manufacturer may depend on hundreds or thousands of suppliers, which depend on their own suppliers, which depend on raw materials, specialized equipment, transportation networks, energy, software and other companies nobody farther downstream has ever heard of.

Your toaster company may know who manufactures its heating element.

Does it know who supplies the nickel-chromium alloy used by the heating-element manufacturer?

Perhaps.

Does it know who supplies the chromium?

Possibly.

Does it know that some obscure processing facility 7,000 miles away is currently experiencing a labor dispute because Gerald in Procurement has been describing the situation as “a Tier Four supplier issue”?

Now we’re having fun!

The supply chain isn’t really a chain.

It’s a web of dependencies wearing a chain costume because that fits better on PowerPoint slides.

How We Got Really, Really Good at This

For most of human history, producing things was expensive partly because geography was an asshole.

If you wanted to manufacture something, you needed access to the materials, workers, tools and customers required to make the economics work. Distance imposed enormous costs (not to mention threats from pirates, warlords or the occasional plague running amok).

Containerized shipping, modern logistics, cheap telecommunications, trade agreements and increasingly sophisticated software changed that. Who says evolution isn’t a thing?

Businesses could break production into pieces and locate each piece where it made the most economic sense.

Maybe the design happens in California, engineering in Germany, chips in Taiwan, components in Malaysia, assembly in Vietnam, packaging in China and distribution from a warehouse in Nevada large enough to have its own weather.

This produced astonishing efficiencies.

Manufacturers gained access to specialized expertise and lower-costs, trimming fractions of a penny from the price of production. Consumers got more products at lower prices. Developing economies gained manufacturing investment, jobs, technology and access to global markets.

And corporations discovered that if you search the entire planet for the least expensive way to manufacture every component of a toaster, you can shave another 17 cents off the unit cost.

At 20 million units, that’s $3.4 million.

Gerald gets promoted. Look at the big brain on Gerald!

Then We Invented Just-in-Time Everything

One of the great innovations in modern manufacturing was just-in-time inventory.

The basic idea is elegant: inventory sitting around waiting to be used costs money. It requires warehouses, insurance, handling and capital that could be doing something more productive.

So instead of stockpiling three months of components, manufacturers coordinate production so materials arrive roughly when they’re needed.

Toyota became particularly famous for developing this approach as part of the Toyota Production System. The point wasn’t simply “keep less stuff around”; it was an integrated production philosophy aimed at reducing waste and making problems visible rather than hiding them beneath mountains of inventory.

Other companies noticed the lower costs and said:

“We particularly like the part about keeping less stuff around. (Oh and the extra money.)”

And thus began humanity’s long experiment with making everything arrive exactly five minutes before we need it.

For decades, this worked astonishingly well.

Supply chains became leaner. Inventories shrank. Warehousing declined. Capital efficiency improved. Shareholders were delighted. Gerald became Vice President.

Then 2020 arrived carrying a baseball bat.

The Day Everything Didn’t Arrive

COVID (a.k.a. Coronavirus Disease 2019) disrupted factories, ports, transportation and labor simultaneously while consumer demand shifted in bizarre ways.

People stopped buying restaurant meals and started buying home-office furniture, electronics, exercise equipment and enough toilet paper to survive the collapse of the Roman Empire.

Shipping containers ended up in the wrong places. Ports backed up. Factories closed temporarily. Semiconductor shortages cascaded into automobiles and electronics. Delivery times stretched.

Suddenly the global supply chain behaved less like an exquisitely tuned machine and more like a Christmas-light strand where one bulb has failed somewhere in Malaysia and nobody knows which one.

Then, in March 2021, the container ship Ever Given became lodged across the Suez Canal.

For six glorious days, a single enormous boat demonstrated the concept of systemic dependency more effectively than every MBA program on Earth.

About 12% of global trade normally passes through the canal, and there it was, stopped because one ship had become geographically ambitious.

Economists produced estimates.
Shipping companies rerouted vessels.
Markets reacted.
Dennis, a trade and logistics analyst, stared at his computer and whispered, “Of course…”

This exposed something we had spent decades systematically engineering out of the system.

Slack.

We Accidentally Removed the Spare Tire

Slack sounds wasteful.

Extra inventory? Wasteful.
Multiple suppliers? Inefficient.
Unused production capacity? Wasteful.
Warehouse space you’re not currently using? Somebody from Finance would like a word.

For decades, companies were rewarded for removing these inefficiencies. And they weren’t wrong. Redundancy really does cost money.

The problem is that redundancy has another name when something goes catastrophically wrong:

backup.

We spent decades removing slack from supply chains because slack looked inefficient.

Then we discovered slack had another name:

resilience.

Your spare tire is extremely inefficient right up until the moment you have a flat.

Then it becomes the smartest thing in the car.

Labor costs vary enormously around the world.

So do environmental regulations, worker protections, taxes, land costs and enforcement standards.

Businesses naturally look for places where production can happen more cheaply. This can provide developing countries with desperately needed jobs, investment, infrastructure and industrial development.

It can also create conditions ripe for exploitation and environmental toxification.

If consumers in wealthy countries demand extremely low prices, companies face powerful incentives to reduce costs. If those costs are difficult to reduce at home because wages and safety standards are higher, production can move elsewhere.

The exploitation doesn’t disappear. It merely becomes geographically inconvenient to look at.

This creates one of the more uncomfortable features of globalization: consumers can benefit materially from labor conditions they would probably reject if those conditions existed next door.

The $7 shirt feels miraculous.

The miracle becomes slightly less miraculous when you ask how cotton was grown, fabric produced, garments sewn, workers compensated and environmental costs absorbed while still leaving enough margin to ship the thing 8,000 miles and sell it for seven dollars.

There is no simple moral equation here. Manufacturing jobs have helped lift enormous numbers of people in developing economies into higher incomes.

But global supply chains also allow wealthy markets to outsource some of the ugliness required to satisfy their own consumption.

The package arrives clean.

The history of the package does not.

Chokepoints: Because Apparently Geography Still Has Opinions

For all our technological sophistication, global trade still depends on a surprisingly small number of physical passages.

The Suez Canal.
The Panama Canal.
The Strait of Malacca.
The Strait of Hormuz.
Major ports.
Rail corridors.
Semiconductor manufacturing hubs.
Critical mineral processors.

These are chokepoints: places where an enormous amount of economic activity depends on relatively concentrated infrastructure or geography.

The Panama Canal, for example, has faced shipping restrictions during drought because its lock system depends on freshwater. The Panama Canal Authority has consequently pursued major water-management projects to improve long-term reliability.

This means the global economy can now be disrupted because:

there isn’t enough water for the boats.

Which feels like a plot point somebody should have caught during rehearsal.

Climate change makes these dependencies even more interesting. Drought affects rivers and canals. Extreme weather disrupts ports and factories. Floods damage infrastructure. Wildfires interrupt transportation and electricity.

The spreadsheet may say your supplier is diversified.

The atmosphere has not reviewed the spreadsheet.

Supply chains aren’t just business infrastructure anymore.

They’re national-security infrastructure.

The pandemic, semiconductor shortages, geopolitical tensions and wars have made governments increasingly concerned about dependence on distant or politically vulnerable suppliers for semiconductors, pharmaceuticals, energy, rare-earth elements and other critical goods.

Hence the rise of terms like reshoring, nearshoring and friend-shoring.

Reshoring means bringing production home.

Nearshoring means bringing it closer.

Friend-shoring means sourcing more from countries considered reliable partners.

Or, in Riggsian “Economese”:

“Maybe don’t manufacture every object essential to civilization in one place we might someday have a complicated relationship with.”

This is sensible. It is also more expensive. And here we encounter the fundamental supply-chain trade-off again.

Efficiency wants concentration.
Resilience wants redundancy.
Consumers want low prices.
Workers want good wages.
Companies want predictable margins.
Governments want security.
Environmental systems would prefer everyone stop behaving like the planet is an unlimited industrial buffet.
Dennis would like Tuesday off.

These goals cannot all be maximized simultaneously.

Which is why supply-chain policy is less about discovering the perfect solution and more about deciding which forms of inefficiency you’re willing to pay for before circumstances choose for you.

Tariffs Enter Carrying a Hammer

As we discussed yesterday, governments can also use tariffs, import restrictions, subsidies and domestic-content requirements to reshape supply chains.

These policies can encourage domestic production and reduce dependence on foreign suppliers.

They can also raise costs.

If you impose a tariff on imported steel to support domestic steel production, manufacturers using steel may pay more. If you’re trying to build cars, washing machines, bridges or extremely ambitious toasters, this matters.

The policy may still be worthwhile. But there’s a recurring problem in public discussions of supply chains:

Everyone wants resilience.
Nobody wants to pay for it.

We want domestic manufacturing, high wages, robust environmental protections, redundant suppliers, strategic independence, inexpensive goods and free two-day delivery.

This is entirely achievable provided we locate the remaining manufacturing capacity in Narnia.

The Efficiency Trap

This brings us to the deeper lesson. Businesses spent decades optimizing supply chains around a set of assumptions.

• Borders would remain relatively open.

• Transportation would remain cheap.

• Geopolitical relationships would remain manageable.

• Climate conditions would remain reasonably predictable.

• Factories could operate with minimal interruption.

• Ships would generally remain pointed in the correct direction.

Under those assumptions, lean global supply chains were extraordinarily rational.

But optimization creates dependency on the conditions being optimized for. A race car is extraordinarily efficient at traveling quickly around a racetrack. It is less impressive during a blizzard on Donner Pass.

Modern supply chains didn’t necessarily become fragile because somebody designed them badly. Many became fragile because they were designed extremely well for a world that stopped existing.

That’s a much more useful diagnosis.

Your Supply-Chain Detection Kit

Ordinary consumers don’t need to become logistics professionals, although Dennis would desperately appreciate the help.

But there are a few useful questions worth asking whenever a product, industry or policy suddenly encounters supply problems.

How many genuine sources exist for something critical? Are those suppliers geographically concentrated? Does the industry carry meaningful inventory? How quickly could production shift elsewhere? Are there obvious transportation chokepoints? Does the low price depend on unusually cheap labor, weak environmental standards or government subsidies somewhere else? Is a company optimizing purely for efficiency, or paying for some redundancy?

And whenever someone announces that a supply chain has been “secured,” ask what that means.

Usually it means somebody has reduced one dependency by creating another dependency with better public relations.

Systems are considerate that way.

Final Thought: Look at the Toaster Again

So return to your kitchen.

There it sits.

Twenty-nine dollars and ninety-five cents.

Plastic housing. Metal coils. Circuitry. Packaging. Labor. Mining. Petrochemicals. Factories. Ports. Ships. Trucks. Warehouses. Customs systems. Trade agreements. Currencies. Financing. Insurance. Energy.

Possibly twenty countries.

Thousands of people.

And… Dennis.

All coordinated well enough that you can insert bread into a machine that cost less than dinner for two and complain because the bagel setting is disappointing.

That isn’t trivial.

It’s astonishing.

Modern supply chains represent one of humanity’s great coordination achievements. They have made products cheaper, expanded access to goods, connected economies and helped industrialize developing nations.

They have also obscured exploitation, concentrated dependencies, externalized environmental costs and created systems whose complexity can make them difficult even for the companies operating them to fully understand.

Both things are true.
That’s the uncomfortable beauty of the supply chain.
It isn’t good or bad.
It’s a system.

And systems produce the outcomes their incentives encourage until reality introduces a new constraint.

So perhaps the lesson of the past several decades isn’t that globalization failed or that just-in-time manufacturing was foolish.

It’s simpler:

Efficiency is what you optimize for when everything works. Resilience is what you wish you’d paid for when it doesn’t.

Tomorrow morning, when your toaster pops up your breakfast, show it a little respect.

That li’l bastard crossed oceans for you.

The Good News (Maybe)

There are few phrases in economics capable of producing anxiety as efficiently as trade deficit.

Deficit sounds bad. You don’t want a sleep deficit. You don’t want a budget deficit. You certainly don’t want your doctor entering the room, closing the door and saying, “We’ve reviewed your tests and unfortunately you appear to have a significant potassium deficit.”

So when someone announces that the United States has a $77.6 billion trade deficit, as it did in May 2026, the natural response is to assume we have misplaced $77.6 billion somewhere near China and should probably retrace our steps.

Fortunately, that isn’t what happened.

A trade deficit simply means that during a given period, a country imported more goods and services than it exported. That’s it. Americans bought more from people outside the United States than foreigners bought from Americans.

Congratulations.

Your country bought more stuff.

This tells us something important about the economy, but it does not by itself tell us whether that something is good, bad, catastrophic, sustainable or the result of Americans discovering a new television at Costco large enough to qualify as residential property.

That’s where things get interesting.

First, Let’s Meet the Players:
Imports and Exports

An export is something produced domestically and sold abroad. Boeing sells an airplane to an overseas airline: export. A California winery sells cases to Japan: export. An American software company sells services to Germany: export.

An import goes the other direction. You buy a Toyota assembled in Japan: import. A grocery store buys bananas grown in Ecuador: import. Your new phone contains components manufactured across several countries before arriving in your pocket and immediately demanding a software update: international commerce (yes, imports).

The Bureau of Economic Analysis calculates the trade balance as exports minus imports:
Positive number: surplus.
Negative number: deficit.

This arithmetic is extraordinarily simple.
The interpretation is where economists begin throwing furniture.

Because the word deficit encourages us to imagine trade as a scoreboard.

UNITED STATES: $317.7 BILLION
FOREIGNERS: $395.3 BILLION

FINAL SCORE: AMERICA LOSES BY $77.6 BILLION.

Except America didn’t receive nothing for that $395.3 billion.

It received $395.3 billion worth of goods and services.

That’s a rather important detail.

If you give the grocery store $200 and return home with groceries, you have technically experienced a $200 bilateral trade deficit with Safeway.

You probably don’t convene the National Security Council.

Countries Aren’t Households, Despite Repeated Attempts to Put Them on a Chore Chart

This is one of the most persistent problems with talking about trade.

We understand household finances intuitively, so we project those intuitions onto countries.

If your household continually spends more than it earns and finances the difference by borrowing, eventually someone from Visa will develop an interest in your affairs.

Countries are different.

They produce, consume, borrow, invest, issue currencies, attract foreign capital, own assets abroad and participate in financial markets involving trillions of dollars moving across borders.

The trade balance is only one part of that larger system.

BEA’s international accounts also track income, transfers, assets and liabilities through the current, capital and financial accounts. This means that when money moves out through trade, other financial flows are happening simultaneously.

Foreign investors may purchase American stocks, bonds, companies or real estate. American companies may invest abroad. Governments buy securities. Businesses build factories.

Money doesn’t reach the shoreline, look wistfully back at America and swim permanently toward Shanghai.

It keeps participating.

And that brings us to the first important lesson:

A trade deficit is a measurement. The interesting question is what produced it.

Why Would Anyone Import Something We Could Make Ourselves?

Because sometimes somebody else is better at making it.

Or cheaper.

Or both.

This brings us to comparative advantage, an economic concept developed by David Ricardo more than two centuries ago and subsequently used to ruin millions of otherwise pleasant introductory economics lectures.

The basic idea is surprisingly sensible.

Countries benefit by specializing in activities where they have relative advantages and trading for other things. A country doesn’t have to be bad at producing something for importing it to make sense. Even a country that’s more productive at making everything can gain by concentrating more effort where its relative advantage is greatest.

Suppose America can produce sophisticated medical equipment, aircraft, software, agricultural products and bananas.

We could grow bananas domestically at enormous scale.

We would simply need to construct several million acres of climate-controlled tropical habitat, presumably somewhere outside Cleveland. (Sounds a bit expensive.)

Or we could buy bananas from Guatemala.

This frees resources to make other things.

And Ohio gets to remain Ohio.

Mostly.

Trade lets countries exploit differences in climate, resources, labor, expertise, infrastructure and technology.

That’s the good part.

There is, inevitably, another part.

The Benefits Are Real. So Are the People Getting Hit With the Benefits.

Trade can make an economy richer overall while simultaneously making particular communities worse off.

That distinction is crucial.

When consumers buy a less expensive imported product, they benefit. Businesses using cheaper imported components may become more competitive. Exporters gain access to larger markets.

But a domestic manufacturer competing directly with that imported product may lose business. Workers may lose jobs. Towns dependent on an industry may experience prolonged economic decline.

The International Monetary Fund ( or IMF—that global organization that looks to “support economic growth and prosperity”, particularly at international events involving tuxedos, spa treatments and schmoozing) notes this explicitly: societies can gain overall from trade even though not every individual or company benefits. (IMF)

This is where economic discussions often become maddening.

An economist may correctly say:

“Overall welfare increased.”

Meanwhile, Milton in Youngstown is standing outside the factory where he worked for 23 years holding a cardboard box containing a stapler and a coffee mug.

Milt may have follow-up questions about the welfare.

Both perspectives can be true.

Trade can create enormous aggregate benefits while distributing those benefits and costs very unevenly.

And if policy celebrates the aggregate gain while telling everyone absorbing the losses to “learn coding,” resentment should not come as a tremendous surprise.

A BRIEF INTERRUPTION FROM OUR INTERNATIONAL TRADE REPRESENTATIVE

If you’ve ever heard two people confidently explain that a trade deficit is either PROOF THE ECONOMY IS COLLAPSING or COMPLETELY MEANINGLESS, congratulations: you’ve encountered economics on the Internet.

So When Is a Trade Deficit a Problem?

Now that we have that unmistakable toothpaste-meet-orange-juic aftertaste of learning in our mouth, we can ask the useful question.

Imagine two countries with identical $100 billion trade deficits.

Country A has a wealthy, productive economy. Consumers are buying imported goods because they can afford them. Foreign investors are pouring capital into the country because they consider its businesses and financial assets attractive. Domestic companies remain innovative and globally competitive. Yay Country A!

Country B, on the other hand, has lost important productive industries, is borrowing heavily to finance consumption, depends increasingly on foreign suppliers for strategically important goods and isn’t generating productive investment that improves its future capacity.

Same deficit.

Very different patient.

This is why staring at the headline number tells you surprisingly little.

You need to know what is being imported, what is being exported, where investment is flowing, what is happening to domestic productive capacity, what is happening to employment and wages, and whether the pattern appears sustainable.

Even persistent imbalances deserve scrutiny rather than reflexive celebration or panic. Recent IMF work has emphasized that large, persistent trade imbalances can reflect structural distortions rather than merely benign comparative advantage. (IMF)

In other words:

Sometimes the check-engine light means the gas cap is loose.

Sometimes Milton has put a connecting rod through the engine block.

The existence of the light is information.

You still have to open the hood.

Then NAFTA Walked Into the Bar

Few trade agreements have acquired as much political baggage as the North American Free Trade Agreement, or NAFTA.

Implemented in 1994 among the United States, Canada and Mexico, NAFTA eliminated nearly all tariffs and many other barriers on goods produced within North America. Trade among the three countries subsequently expanded dramatically, and production itself became increasingly integrated across borders. (Congress.gov)

That last part matters.

We tend to imagine international trade as:

Mexico makes car → America buys car.

Modern manufacturing looks more like:

Part made in Michigan → shipped to Ontario → incorporated into assembly → component goes to Mexico → something else happens → crosses border again → becomes transmission → someone in Tennessee swears at it → automobile.

A product can cross borders multiple times during production.

CRS notes that NAFTA helped create extensive vertical supply relationships, particularly between American and Mexican manufacturers in autos, electronics, appliances and machinery. (Congress.gov)

This makes determining whether something is “American” considerably more complicated than checking whether a tiny flag appears on the packaging.

The supply chain has seen… things.

Did NAFTA Destroy American Manufacturing?

This is where we have to resist the seductive appeal of easy answers.

NAFTA changed incentives and accelerated economic integration. Some industries and workers faced meaningful adjustment costs and increased import competition. Critics have pointed to employment losses, wage pressure and insufficient labor and environmental protections.

But the broader economic evidence doesn’t support either extreme caricature: that NAFTA single-handedly destroyed American manufacturing, or that everyone benefited wonderfully and anyone suggesting otherwise simply misunderstood comparative advantage.

CRS summarizes much of the research as finding small but positive net economic effects overall, alongside significant adjustment costs for some sectors and communities. (Congress.gov)

Which is perhaps the least satisfying answer imaginable.

“Did NAFTA help or hurt?”

“Yes, depending on whom you are standing next to.”

This is economics’ favorite practical joke.

NAFTA Gets a Software Update

In 2020, NAFTA was replaced by the United States-Mexico-Canada Agreement, or USMCA, because apparently even international trade agreements eventually require rebranding.

USMCA retained much of NAFTA’s basic free-trade structure while updating rules covering automobiles, labor, agriculture, intellectual property and digital commerce, among other areas. (Congress.gov)

That last category didn’t really exist when NAFTA was negotiated.

In the early 1990s, “digital trade” mostly involved someone mailing you an AOL disk.

Today, data itself crosses borders continuously.

Software, cloud services, intellectual property and digital products have become enormous parts of international commerce.

This is why trade agreements aren’t merely agreements about tariffs anymore.

They’re increasingly agreements about how entire economic systems connect.

And once systems become deeply interconnected, pulling one lever tends to move six other things and knock a vase off a shelf in Mexico.

What About Tariffs?

A tariff is a tax placed on imported goods.

The appeal is easy to understand (at least for most people): make imported goods more expensive by taxing them, and domestic alternatives become relatively more competitive.

Sometimes tariffs can protect strategically important industries, respond to unfair trade practices or provide temporary breathing room for domestic producers.

But there is no tariff fairy.

Someone pays. Generally it is the end consumer.

Importers initially pay the tariff, and some portion of the cost may then be passed along through higher prices, absorbed through lower margins, pushed onto suppliers, or distributed through the supply chain depending on market conditions.

And other countries may retaliate against your exports.

Suddenly you’ve protected the domestic toaster industry while soybean farmers are asking why China has stopped returning their calls.

This doesn’t mean tariffs are inherently stupid.

It means trade policy creates trade-offs, which is considerably less exciting than announcing that someone else will pay for everything.

What Should Ordinary People Actually Watch?

You don’t need to memorize the current import/export accounting or begin monitoring container traffic from Long Beach at 3:00 a.m.

Instead, watch the structure behind the headline.

Is the deficit growing because households and businesses are strong enough to buy more? Are imports mostly consumer goods, industrial inputs or strategically important products? Are exports competitive? Is foreign capital financing productive investment or merely helping sustain consumption? Are critical industries disappearing? Are workers displaced by trade finding comparable opportunities elsewhere? Are supply chains becoming dangerously dependent on a single country or chokepoint?

And perhaps most importantly, whenever someone tells you that the trade deficit proves their preferred policy is obviously correct, check whether they are explaining (or even understand) the mechanism.

“Deficit went up” is not a mechanism.

It’s a number.

Numbers are wonderfully obedient things. They’ll stand behind almost any story if you don’t ask them enough questions.

Final Thought:
Stop Watching the Scoreboard

Trade isn’t a football game.

Imports aren’t points for the other team.

Exports aren’t touchdowns.

And a trade deficit does not mean someone overseas has somehow defeated you at commerce and is now entitled to take Wisconsin.

Trade is an enormous system of exchange connecting consumers, workers, businesses, investors, currencies, governments and supply chains.

Sometimes deficits reflect strength.

Sometimes they expose weakness.

Often they contain some of both.

The useful question isn’t:

“Do we have a trade deficit?”

We already know how to subtract.

The useful question is:

“What kind of economy is producing it?”

Because a wealthy country importing enormous quantities of goods while attracting productive investment is one story.

A country steadily surrendering productive capacity while financing consumption is another.

Same spreadsheet.

Different future.

And once you understand that distinction, the terrifying headline TRADE DEFICIT SURGES 42% becomes less likely to make you crawl beneath the enormous imported television you purchased on sale last weekend.

Which is fortunate.

Because that television is 97 inches across, weighs 142 pounds and was assembled through a supply chain spanning half the planet, contributing to the wages of countless human beings along the way.

Are We Tired of Winning Yet?

America loves a winner. We put winners on magazine covers, invite them onto podcasts, give them honorary degrees, ask them to explain morning routines, and occasionally allow them to purchase an island and begin dressing exclusively in linen.

There is, however, a point at which winning becomes awkward.

You make the best widget. Wonderful. You sell more widgets than anyone else. Congratulations. You buy your largest competitor. Bold move. You buy the second-largest competitor. Efficient! You acquire the promising startup that might someday threaten you, control the distribution channel, purchase the supplier, negotiate preferential terms unavailable to smaller rivals, and wake up one morning to discover that everyone else in the widget industry now works for you.

At this point, the government may gently clear its throat.

This is antitrust: the peculiar American tradition of enthusiastically encouraging businesses to compete until somebody becomes so successful at eliminating competition that we have to explain what we meant by “compete.”

Again.

And despite the name, antitrust law isn’t fundamentally about punishing companies for becoming large. Its purpose is to protect the process of competition from conduct that improperly restrains or destroys it. The Justice Department describes competition as benefiting consumers, workers and taxpayers through lower prices, better quality, more choice, innovation and better employment opportunities. Keeping competition healthy leads to better outcomes in a capitalist society.

In other words, sure, you may win the game. You’re just not supposed to buy the stadium, fire the other teams, acquire the referee and announce that next season will consist entirely of you.

First, We Invented the Robber Baron

The problem became particularly difficult to ignore during America’s Gilded Age, when industrialization produced enormous fortunes and some genuinely magnificent mustaches.

Railroads, oil, steel, sugar and other industries increasingly concentrated in enormous enterprises and “trusts.1” A trust could place control of multiple nominally separate companies into the hands of a small group of trustees, producing the delightful competitive arrangement in which several businesses appeared to exist but one group controlled all of them.

Standard Oil famously used this structure. Nine trustees effectively controlled the component companies, allowing the enterprise to operate as a monopoly. Eventually Americans began wondering whether “free enterprise” was supposed to include the freedom of one enterprise to purchase all the other enterprises.

Congress responded in 1890 with the Sherman Antitrust Act, America’s first federal antitrust law.

The law prohibited combinations restraining interstate or foreign trade and gave the federal government authority to go after trusts. It also allowed people and businesses harmed by illegal conduct to sue for triple damages.

It sounded muscular.

Unfortunately, Congress had written some of the important parts with the specificity of a hotel shower knob. Critical concepts such as “trust,” “combination,” “conspiracy” and “monopoly” weren’t clearly defined, leaving courts considerable room to determine what the new law actually meant.

And the courts immediately got creative.

The 98% Solution

In 1895, the federal government went after the American Sugar Refining Company in United States v. E.C. Knight.

The company controlled roughly 98 percent of American sugar refining.

Ninety-eight percent.

There are North Korean elections with more competitive tension.

Yet the Supreme Court ruled against the government’s case, drawing a distinction between manufacturing and interstate commerce that sharply limited the Sherman Act’s reach.

One imagines the conversation:

“So, does this company have a monopoly?”

“Well, it controls 98% of sugar refining.”

“Good heavens.”

“Indeed.”

“What about the other 2%?”

“Still out there.”

“Excellent. Competition lives!”

This was an early lesson in a recurring feature of regulation: passing a law and creating an effective constraint are not necessarily the same event.

The Sherman Act existed.

So did giant concentrations of economic power.

The country would spend the next century periodically adjusting the relationship between those two facts.

America Discovers Version 2.0

By 1914, Congress apparently concluded that perhaps the antitrust operating system required a patch.

It passed the Clayton Act of 1914, targeting practices the Sherman Act hadn’t addressed clearly enough, including certain mergers and interlocking directorates—situations where the same people sit on the boards of competing companies, which is wonderfully efficient if the part you’re trying to eliminate is competition.

Congress also passed the Federal Trade Commission Act, creating the FTC.

Together, Sherman, Clayton and the FTC Act remain the core federal antitrust framework today. The Clayton Act has since been amended, including rules addressing mergers that may substantially lessen competition and requirements that companies notify the government in advance of certain large mergers.

This created the basic arrangement we still have: companies compete, regulators monitor them, lawyers argue about what “substantially” means, judges interpret the law, economists produce graphs, and somewhere a merger consultant buys another vacation home.

It is an ecosystem.

Antitrust Is Not Anti-Bigness

This distinction matters because antitrust discussions frequently deteriorate into an argument about whether large companies are good or bad.

Large isn’t automatically illegal.

A company can become enormous because it makes an exceptional product, operates efficiently, innovates rapidly or simply does something much better than everyone else. The Sherman Act doesn’t prohibit having market power merely because customers really like what you’re selling. The Justice Department distinguishes that from obtaining or maintaining monopoly power through anticompetitive conduct designed to suppress competition.

That is a considerably more useful distinction.

Imagine two restaurants.

Restaurant A becomes enormously successful because its food is magnificent, service is excellent and the chef has somehow discovered a legal method of putting cocaine into mashed potatoes.

Restaurant B becomes enormously successful because it buys every competing restaurant, acquires the building containing the only available commercial kitchen, signs exclusive contracts with all local suppliers and sends someone named Vinnie to explain market economics to anyone considering opening a competing café.

Both restaurants are dominant.

Only one has made the competitive process itself the entrée.

The Other Way We Learned This Lesson

Antitrust wasn’t America’s only attempt to constrain concentrated economic power.

After the financial system drove itself into a ditch during the Great Depression, Congress passed the Banking Act of 1933, commonly associated with Glass-Steagall, a related piece of legislation sponsored by Senator Carter Glass and Representative Henry B. Steagall.. This wasn’t antitrust law, but philosophically it belonged to the same extended family: perhaps there should be structural limits on how much interconnected financial power we allow to accumulate before someone starts juggling chainsaws in the maternity ward.

Glass-Steagall separated important commercial- and investment-banking activities and also created the Federal Deposit Insurance Corporation (FDIC). The separation reflected concerns that banks had taken excessive risks with depositors’ money and faced conflicts between ordinary banking and securities activities.

Over subsequent decades those barriers eroded, and in 1999 the Gramm-Leach-Bliley Act formally repealed major portions restricting affiliations among banks and securities firms, allowing financial holding companies to combine activities that had previously been separated.

Whether every later financial calamity can be blamed on that repeal is a much more complicated question—and anyone telling you otherwise probably has a book to sell.

But the broader pattern matters.

Crisis reveals concentration. Rules are created. Memories fade. Industries evolve. Pressure builds against the rules. Rules weaken or become less relevant. Concentration returns in new forms. Everyone acts surprised.

Then Congress orders lunch.

Yesterday’s Law Meets Tomorrow’s Monopoly

Antitrust has another problem that its nineteenth-century creators couldn’t reasonably anticipate.

A railroad is fairly easy to see.

So is an oil refinery.

Digital market power can be considerably stranger.

A modern company might control a platform, marketplace, operating system, advertising network, enormous dataset, cloud infrastructure, distribution channel or some charming combination of all six. A service can even appear “free” while creating enormous strategic power because customers are paying with attention, behavior, data or dependence instead of dollars.

This makes the old consumer question—Did prices go up?—important but inadequate.

Competition can also affect innovation, product quality, worker bargaining power, supplier relationships and whether potential competitors can reach customers at all. Current DOJ merger guidance explicitly considers harm to workers, creators, suppliers and other providers when competing buyers consolidate.

Which brings us to the part ordinary people should care about. Because you shouldn’t need an antitrust law degree, three economists and a mahogany conference table to notice when a market starts getting weird.

Your Amateur Monopoly Detection Kit

Healthy competition usually produces friction for the companies involved.

They have to court you. Improve things. Watch prices. Respond when customers complain. Offer workers competitive compensation. Worry about some irritating little startup appearing from a garage and eating their lunch.

When that pressure disappears, behavior changes.

Watch for markets where the names on the products seem numerous but ownership keeps tracing back to the same few parent companies. Watch repeated acquisitions of promising young competitors before they become serious threats. Watch companies controlling both a marketplace and competing inside that marketplace. Watch suppliers becoming dependent on one or two buyers, or workers discovering that what appears to be a large employment market is actually dominated by a handful of employers.

And perhaps the easiest signal of all: watch what happens when the company makes the product worse.

If prices rise, service deteriorates, features disappear, advertising multiplies like rabbits in a Viagra warehouse, support becomes an AI chatbot named Trevor who has misunderstood your problem seventeen consecutive times—and customers still have nowhere meaningful to go—you may not be looking at a customer-experience problem.

You may be looking at a competition problem.

The most revealing question is often not:

“How big is this company?”

It is:

“What happens if I don’t want to do business with it?”

If the answer requires moving, changing careers, abandoning all your friends, purchasing seven adapters and learning Linux, perhaps keep an eyebrow raised.

When Corruption Gets the Upper Hand

There is an even deeper warning sign.

Economic concentration becomes particularly dangerous when dominant participants gain enough influence to shape the rules intended to constrain them.

That doesn’t require a secret underground chamber where twelve CEOs sacrifice a junior compliance officer beneath a portrait of Ayn Rand.

Usually it’s considerably duller.

Lobbying.

Regulatory expertise concentrated inside industry. Revolving doors between government and business. Political spending. Highly technical rule-making where the regulated companies possess vastly more information and resources than the regulators. Legal challenges that can take years while markets continue consolidating.

None of those things independently proves corruption. Businesses have legitimate reasons to participate in policymaking, and regulators genuinely need industry expertise.

The danger appears when competition over the rules begins replacing competition under the rules.

That’s the moment to pay attention.

Because once the strongest participants can substantially influence the structure governing everyone else, market power starts becoming something larger.

It starts becoming system power.

Why Antitrust Keeps Coming Back

Antitrust enforcement has strengthened, weakened and changed philosophy repeatedly over its 136-year history because there is no permanent setting labeled CORRECT AMOUNT OF CAPITALISM.

Markets evolve.

Technology changes.

Businesses invent new organizational structures.

Regulators catch up.

Businesses hire lawyers.

Lawyers discover exciting new interpretations of verbs.

Regulators catch up again.

This isn’t necessarily evidence that the system has failed. In some respects, it’s evidence that the system is alive, and perhaps even working. Rules governing economic power have to evolve because economic power itself evolves.

The danger comes when society stops asking whether the competitive process is still functioning simply because companies continue describing the market as competitive.

Having six buttons on the screen does not necessarily mean you have six choices.

Sometimes they’re all connected to the same machine.

Final Thought: Competition Requires Competitors

The deepest irony of antitrust is that it exists partly to protect capitalism from one of capitalism’s own incentives.

Every competitor wants an advantage.

Every successful business wants to protect that advantage.

Every executive would prefer predictable margins, loyal customers, favorable suppliers and competitors who have recently experienced unfortunate boating accidents.

Individually, these desires are perfectly rational.

Collectively, they can produce markets where meaningful competition slowly disappears.

That’s why antitrust shouldn’t be understood primarily as government versus business. At its best, antitrust is an attempt to preserve the conditions that allow businesses to keep challenging one another.

Because competition does something companies generally dislike but customers desperately need:

It makes complacency expensive.

And once companies no longer have to worry very much about losing you, they tend to discover exciting new ways of monetizing your disappointment.

So when you hear “antitrust,” don’t picture bureaucrats punishing some poor defenseless multinational corporation for being successful.

Picture the referee walking back onto the field after discovering that one team has purchased the opposing team, the concession stand, the scoreboard and, through a wholly owned subsidiary in Delaware, the referee.

Apparently winning too much really is a thing.

Or at least it should be.

This is one of the few economic frameworks that includes the complete digestive process as a core mechanism (not to mention making some pretty wild assumptions about the appeal of questionably sourced food products.).

It is also, somehow, still taken seriously. (Seriously!)

The Elegant Story (Which Is Doing a Lot of Work)

The modern version is dressed up a bit more professionally (with fewer gastrointestinal similes).

Instead of horses and sparrows, we talk about:

• capital formation

• investment incentives

• economic growth

The idea is simple enough to sound reasonable over lunch (especially those that include 3 or more martinis):

If you reduce taxes on corporations and wealthy individuals, they will invest that money into businesses. Those investments will create jobs. Those jobs will generate income. That income will circulate through the economy.

And eventually…

It’s a beautiful loop.

There’s a stage every technological revolution eventually reaches.

The first stage is exhilarating.

Someone invents something remarkable. Investors lose their composure. Magazine covers declare that everything has changed forever. Conference speakers begin using the word transformational as though it were legally required at the start of every sentence.

The second stage is considerably less glamorous.

Someone has to build the parking lot.

That was the real story this week. Not artificial intelligence. Not IPOs. Not social media.

Infrastructure.

The future has deliberately stopped asking, “What’s the next breakthrough?”

It’s now asking,

“Who’s maintaining all of this?”

For two years we’ve largely discussed models.

Which one is smartest?

This is the part we don’t usually talk about.

The Innovation We Were Promised

Innovation, as a concept, has incredible branding.

It suggests bold ideas. Breakthroughs. Garage-born companies turning into world-changing platforms. Someone with a whiteboard, a bad haircut, and a refusal to accept that something is “impossible.”

It’s exciting.
It’s cinematic.
It is also… deeply inconvenient for large organizations.
