But a vehicle is built on hundreds of parts supplied by companies most customers will never hear about.

One of those companies is Dhoot Transmission.

Dhoot is among the top two players in India’s two-wheeler and three-wheeler wiring-harness market. Its combined market share in the segment was around 41% in FY26. In electric two-wheelers and three-wheelers, the share was close to 70%.

The better-known listed benchmark in this business is Motherson Sumi Wiring India. Dhoot is much smaller in overall revenue, but in the two-wheeler and three-wheeler side of the market it has built a very meaningful position.

And now Dhoot is coming to the stock market with a ₹3,067 crore IPO.

That makes this a good time to understand what the company actually does, where its revenue comes from, why margins have been falling despite strong growth, and how Bain Capital’s investment has changed the company’s valuation in a fairly short period.

So, what does Dhoot Transmission make?

Dhoot started with wiring harnesses, but today the business is broader.

Its product portfolio includes wiring harnesses, battery packs, sensors, electronic controllers and automotive switches. It supplies products for internal-combustion vehicles as well as electric vehicles.

The company mainly serves two-wheelers and three-wheelers, but it also supplies commercial vehicles, off-highway vehicles, farm equipment and industrial applications.

Roughly 95% of its automotive portfolio is either EV-focused or powertrain-neutral. In simple words, a large part of what Dhoot makes can continue to be used whether the vehicle runs on petrol, hybrid technology or batteries.

This is important because the company does not have to guess exactly how fast India will shift from ICE vehicles to EVs.

What exactly is a wiring harness?

A wiring harness sounds simple. It is basically a group of wires, connectors, terminals and protective coverings bundled together.

But in a modern vehicle, it is much more important than that.

Think of the wiring harness as the nervous system of the vehicle.

The battery, lights, sensors, engine controller, dashboard, switches, ABS system, chargers and many other electronic parts need to communicate with each other. The wiring harness creates those electrical connections and carries both power and signals across the vehicle.

As vehicles become more electronic, the harness also becomes more complex. An electric vehicle adds another layer because high-voltage power has to move safely between the battery, inverter, motor and charging system.

1. Low-voltage wiring harness

This is the conventional harness used for lights, sensors, switches, controllers and other low-voltage electrical systems.

It is used in both ICE and electric vehicles.

2. High-voltage wiring harness

This becomes more important in EVs.

It carries high-voltage power between systems such as the battery pack, inverter, motor and charging unit. Because the voltage is much higher, insulation, safety, thermal management and testing requirements are also stricter.

3. Battery cables

Battery cables handle high-current connections between the battery and the vehicle’s electrical or starting systems.

So while a wiring harness may look like a bundle of wires, the engineering challenge is in getting hundreds of connections right, fitting them into limited vehicle space and making sure they work reliably through heat, vibration, water, dust and years of usage.

As vehicles add ABS, sensors, connected features, charging systems and more electronics, the value of electrical content inside each vehicle rises. Dhoot is positioned directly in that shift.

Where does Dhoot make its money?

The company is becoming more diversified, but the wiring harness is still the heart of the business.

There is one useful trend here.

Wiring harness revenue is growing strongly, but its share of the company has fallen from almost 82% in FY24 to 77% in FY26.

That is because newer businesses such as battery packs, sensors and electronic products are growing faster.

But the company is still heavily dependent on two-wheelers

If we look at revenue by end market, the concentration becomes clear.

Two-wheelers and three-wheelers together contributed more than 78% of FY26 revenue.

That concentration is both Dhoot’s strength and its risk.

It is the reason the company has been able to build scale and a strong market position. But it also means its numbers are closely linked to production volumes and model cycles at a limited number of large OEMs.

The top ten customers contributed around 81% of FY26 revenue. So Dhoot is diversified across products, but not yet fully diversified across customers and vehicle categories.

The EV business is already meaningful

EV is not just a future slide in Dhoot’s presentation.

Revenue from products sold for electric vehicles increased from roughly ₹453 crore in FY24 to ₹869 crore in FY25 and ₹1,094 crore in FY26.

That is important because Dhoot already has real EV revenue rather than only an EV opportunity.

At the same time, ICE-linked sales are still much larger. So this is better understood as an electrical-components company participating in the EV transition, rather than a pure EV company.

22 factories, built close to the customer

Wiring harness is a business where location matters.

OEMs run just-in-time production systems. A supplier cannot be hundreds of kilometres away and hope to manage every demand change efficiently.

That is why Dhoot has built manufacturing facilities close to major automotive clusters.

As of March 31, 2026, the company had 19 manufacturing facilities in India and 3 outside India, along with engineering centres and warehouses. Its international manufacturing presence includes the UK, Slovakia and Thailand.

Its Indian plants are spread across key OEM hubs including Aurangabad, Pune, Hosur, Manesar, Pithampur and Jhajjar.

By the date of the RHP, the company said it had 23 operational manufacturing units across India and overseas, with two more plants under construction.

Capacity Utilisation

Wiring harnesses and sensors are already running above 80% utilisation. Battery packs are also reasonably utilised.

Switches are the outlier. Capacity utilisation is still below 25%, which means Dhoot already has room to grow that business without immediately adding another large block of capacity.

For wiring harnesses, however, the company is adding capacity through new plants in Jhajjar and Shoolagiri.

The planned addition is about 3.06 million units, taking total wiring-harness capacity from roughly 14.09 million to 17.15 million units an increase of around 22%.

The headline financial growth is strong

Revenue increased from ₹2,798 crore in FY24 to ₹4,525 crore in FY26.

That is excellent growth but there is a catch.

Profitability has not kept pace and EBITDA margin has fallen every year from 18.3% to 17.2% and then to 15.7%.

PAT margin has also fallen from 10.7% to 8.7%.

Why are Dhoot’s margins falling?

This is probably the most important part of the financial story.

The simple explanation is that costs have been rising faster than revenue.

1. Raw-material intensity increased

Cost of materials consumed was 65.4% of revenue in FY24, 65.5% in FY25 and jumped to 67.8% in FY26.

That two-percentage-point move matters in a business operating at a mid-teens EBITDA margin.

Copper is especially important. It is the primary conductor used in wiring harnesses and can account for more than half of the bill-of-material cost of a harness.

Dhoot does have price-indexation and pass-through mechanisms with customers in some programmes, but these resets can happen with a lag and may not recover every increase immediately.

2. Subcontracting and freight costs rose sharply

In FY26, subcontracting expense increased by about 54%, while freight increased by roughly 56%.

Repairs and maintenance rose around 49%, and power, water and fuel costs also moved up.

These are signs of a company scaling quickly but they also explain why higher revenue did not fully flow through to EBITDA.

3. Finance cost moved up

Finance costs increased from around ₹49 crore in FY24 to ₹67 crore in FY25 and ₹91 crore in FY26.

Total borrowings also increased from roughly ₹555 crore in FY24 to ₹841 crore in FY26.

This does not affect EBITDA, but it does affect the PAT margin.

4. Depreciation increased with capex

Depreciation and amortisation rose from around ₹76 crore in FY24 to ₹93 crore in FY25 and ₹123 crore in FY26.

The reason is straightforward: Dhoot has been investing heavily in new facilities and equipment.

Again, this sits below EBITDA but reduces profit after tax.

5. FY25 also had a one-off restructuring cost

Dhoot incurred around ₹11.45 crore of stamp duty related to organisational restructuring in FY25.

After adjusting for this, FY25 EBITDA margin was around 17.5% rather than 17.15%. But even on an adjusted basis, the direction remained downward compared with FY24.

Revenue is not the problem. The key question is whether Dhoot can grow without raw material, freight, subcontracting and expansion costs eating away at the incremental profit.

Now comes the IPO

Dhoot’s IPO is worth about ₹3,066.89 crore at the upper end of the price band.

The price band is ₹829 to ₹871 per share.

The issue has two parts:

Fresh issue: ₹1,400 crore
Offer for Sale: up to ₹1,666.89 crore

These two parts should not be treated as the same thing.

Fresh-issue money goes into Dhoot Transmission.

OFS money goes to the shareholders who are selling.

Who is selling in the OFS?

The biggest seller is BC Asia Investments XV, the Bain Capital entity that currently owns 55% of Dhoot.

Bain is offering up to about 1.60 crore shares. At the upper price of ₹871, that works out to roughly ₹1,395 crore.

The second seller is Mangalam Capital, which is selling about 31.19 lakh shares. At the upper band, the value is roughly ₹272 crore. Mangalam is fully exiting through the IPO.

Bain, however, is only making a partial exit and will continue to own a significant stake after the issue.

Bain Capital’s Dhoot journey is worth understanding

Bain Capital announced its strategic investment in Dhoot in January 2025. The RHP now gives us the actual transaction prices, which makes the journey much easier to understand.

There is one small complication: Bain’s first investment happened when Dhoot’s shares had a face value of ₹100. The company later split each share into ₹2 shares and then issued a 2-for-3 bonus. So, to compare Bain’s entry price with the ₹829–₹871 IPO band, we need to look at the adjusted price per share.

The first leg happened on April 2, 2025.

Bain subscribed to fresh shares at an adjusted price of ₹483.68 per share, putting roughly ₹955 crore directly into Dhoot. On the same day, it bought shares from Rahul Dhoot at an adjusted price of ₹486.14 per share, paying roughly ₹3,002 crore to the promoter.

Those two transactions together took Bain to a 49% stake.

Then, in March 2026, Bain put in another roughly ₹1,023 crore through a fresh allotment at ₹461.22 per share. Its stake increased from 49% to 55%.

The RHP puts Bain’s average cost of acquisition at ₹480.34 per share on a fully diluted basis.

Now compare that with the IPO band of ₹829–₹871.

At the upper end, the IPO price is about 81% above Bain’s average acquisition cost. And at ₹871, Dhoot is seeking a post-issue market capitalisation of about ₹17,816 crore.

That does not mean Bain has already made an 81% return part of its holding remains invested, and actual fund-level returns depend on the number of shares sold, timing and other factors. But it does show how sharply Dhoot’s equity valuation has moved since Bain came in.

Why is Dhoot raising ₹1,400 crore of fresh money?

The answer is not simply “for expansion”.

A large part of the money is being used to reduce debt.

So roughly ₹767 crore of the specifically identified proceeds is going towards reducing borrowings at Dhoot and its subsidiaries.

Another ₹150 crore will fund the two new wiring-harness plants.

The remaining amount can be used for acquisitions and general corporate purposes, within the limits disclosed in the RHP.

This means the IPO is partly funding growth, but it is also cleaning up the balance sheet after a period of aggressive expansion.

That is not necessarily bad. Lower debt means lower finance cost and a stronger balance sheet.

But it is useful to understand what investors are actually funding.

The closest listed comparison: Motherson Sumi Wiring India

Dhoot’s RHP lists several peers, but Motherson Sumi Wiring India is the most useful comparison because wiring harnesses are central to both businesses.

Motherson Sumi Wiring is more than twice Dhoot’s size by revenue.

Dhoot, however, grew faster in FY26 and reported a higher EBITDA margin and PAT margin.

The big difference is the customer and vehicle mix.

Dhoot is heavily concentrated in two-wheelers and three-wheelers. Motherson Sumi Wiring is far more exposed to passenger vehicles and other categories.

Motherson also has a stronger return-on-net-worth number.

So Dhoot is the faster-growing and more 2W-focused company, while Motherson Sumi Wiring is the larger, more diversified and more established listed platform.

What could go wrong?

• Customer concentration: More than 80% of revenue comes from the top ten customers.

• 2W/3W dependence: More than three-fourths of revenue is still linked to these two segments.

• Margin pressure: Revenue growth has not translated into stable margins or returns on capital.

• Execution on new capacity: New plants need to ramp without creating under-utilised assets or delivery issues.

• Capital allocation: Part of the issue proceeds can be used for unidentified acquisitions and general corporate purposes, so investors will need to watch how that money is deployed.

And what about valuation?

At the upper band of ₹871, Dhoot’s valuation can be looked at in two ways.

The RHP reports FY26 diluted EPS of ₹24.40. On that number, the upper price implies a P/E of around 35.7x.

But that EPS uses the weighted-average share count before the IPO fresh issue. If we use the larger post-issue share count, the P/E is closer to 44.9x.

For comparison, Motherson Sumi Wiring India was valued at roughly 43.2x FY26 earnings in Dhoot’s RHP peer table.

The important point is that the valuation comparison should not stop at P/E.

Dhoot reported an FY26 EBITDA margin of 15.71% versus 10.35% for Motherson Sumi Wiring India. Its PAT margin was 8.70% versus 5.45% for Motherson. Dhoot also grew faster in FY26.

So, on operating margins, Dhoot actually looks stronger than Motherson Sumi Wiring.

But Motherson is much larger, more diversified across vehicle segments and has a stronger return-on-net-worth profile. Dhoot remains far more dependent on two-wheelers, three-wheelers and a concentrated customer base.

This makes the valuation debate more balanced.

Dhoot is not coming at a clear P/E discount, but it is bringing higher margins and faster growth to the table. The question is whether those margins can hold especially after falling from 18.3% in FY24 to 15.7% in FY26 and whether the company can improve returns as the post-IPO equity base becomes larger.

In other words, the market is already giving Dhoot credit for its strong 2W position, EV opportunity and better operating margins. Execution from here will matter much more than the story alone.

The bottom line

Dhoot Transmission is the kind of company that most people never notice, even though its products sit inside millions of vehicles.

It has built a strong position in one of India’s largest mobility segments. It is among the top two players in 2W and 3W wiring harnesses, has a large position in the electric segment and has expanded beyond harnesses into electronics and battery-related products.

The growth is real.

Revenue has moved from less than ₹2,800 crore to more than ₹4,500 crore in two years.

But the next part of the story is not about revenue.

It is about whether Dhoot can convert that scale into better margins and better returns.

Bain entered the company at a much lower implied valuation, increased its stake to 55%, and is now partially selling through an IPO that values Dhoot at close to ₹18,000 crore at the top end.

That makes the IPO interesting but it also raises the bar.

Dhoot has already proved it can grow. Now it has to prove that growth can become more profitable.

This breadth makes the model more scalable. The workforce and operating systems built for one service can support adjacent work. It also allows the company to participate in conventional distribution projects as well as newer opportunities such as smart metering and grid modernisation.

The easiest way to understand the company: G V Electricals is a engineer-led execution partner for power distribution utilities. It is selling execution, keeping networks running, upgrading ageing infrastructure and helping utilities deliver power more reliably.

Decades of Execution

GV’s historical execution is evident from their Delhi project, where the company reduced T&D losses from 65% to 9%; that too before smart meters or emerging technologies became mainstream, speaks of the company’s specialisation and moat.

Geographical Presence

The company has executed projects across Odisha, Maharashtra, Delhi, Gujarat, Rajasthan, Uttar Pradesh and Goa.

MOAT: 76% Recurring Business with 88% Repeat Clientele

O&M contributes 76% of the company’s business, providing recurring and high-margin revenue. Repeat customers accounted for 88.29% of FY26 revenue, highlighting strong customer retention.

This tells us two things.

1. The recurring nature of the business gives them growth visibility.

2. G V Electricals does not need to rebuild its customer base every year.
   

That can lower acquisition costs, improve tender visibility and create opportunities to win more work from the same utility network.

The Clientele: Company’s Credibility

Not every logo represents the same size or type of relationship. But the breadth of the list matters. Utility and infrastructure work is reference-driven. A successful project with a recognised customer can improve qualification for future tenders.

In a field-execution business, customer relationships are difficult to build quickly. G V Electricals has spent years creating that entry barrier.

Data Centres: New Growth Engine

One of the most interesting developments in FY26 came from the Data Centre and IT Infrastructure segment.

Revenue from this customer category increased from just ₹2.10 crore in FY25 to ₹10.37 crore in FY26, a nearly fivefold jump in a single year. Its contribution to total revenue expanded sharply from 1.60% to 6.63%, making it the company’s fourth-largest customer segment in FY26.

This is more than a one-year revenue jump.

Data centres require reliable power distribution, uninterrupted operations, electrical infrastructure, metering and continuous maintenance areas where G V Electricals already has established execution capabilities.

The rising contribution from data-centre infrastructure suggests that G V Electricals may now be extending its capabilities into a faster-growing, technology-led segment

The Order Book: ₹553.70 crore

As of June 30, 2026, the company had an unexecuted order book of ₹553.70 crore across 34 ongoing projects. That is about 3.5 times FY26 revenue.

The order book spans O&M, metering and electrical infrastructure work. It is supported mainly by distribution utilities and government authorities. The mix matters because long-duration and milestone-based contracts can provide multi-year visibility and help the company plan manpower more efficiently.

For a company with FY26 revenue of ₹156.41 crore, a ₹553.70 crore order book provides a strong runway for the next phase of execution.

FY26 Nos: The Operating Leverage

Revenue grew steadily, but profits grew much faster. EBITDA more than doubled in FY26, and PAT increased by 124.5% year on year.

This is the central financial takeaway. Once the company reaches a larger execution base, overheads and operating systems can support more revenue without rising at the same pace. That is the operating leverage investors usually look for in a scaling services business.

The Bullish Case

1. Profitable growth: Revenue, EBITDA and PAT have all risen, with a sharp improvement in profitability in FY26.

2. Strong customer retention: 88.29% of FY26 revenue came from repeat customers.

3. Recurring base: 76.9% of FY26 revenue came from O&M services.

4. Large order visibility: The ₹553.70 crore order book is more than three times annual revenue.

5. Experienced execution: The company has a four-decade operating history and a workforce of more than 4,770 people.

6. Diversified service capability: O&M, metering and infrastructure services allow the company to participate across the distribution chain.

Individually, each point is useful. Together, they create a more powerful story: the company has experience, customers, manpower, orders and improving financials at the same time.

The Way Forward: Three Growth Levers

The growth drivers are visible across the power chain: rising electricity demand, distribution upgrades, smart metering, renewable-energy integration, transmission expansion and government-led modernisation.

G V Electricals does not need to create this market. It needs to win a larger share of an expanding one.

The Next Phase has three Clear Growth Levers:

• Expand high-value EPC work

Bid for larger transmission, substation and network-development projects while improving project mix and geographic reach.

• Strengthen recurring O&M

Win more long-term contracts, increase wallet share with existing utilities and build stronger revenue visibility.

• Ride India's infrastructure boom

Participate in RDSS, smart metering, grid modernisation, renewable integration and transmission expansion.

This strategy is logical because it uses existing strengths. G V Electricals already has utility relationships and an execution workforce. The next step is to move into larger projects without losing the recurring O&M base.

Industry Outlook

Most discussions around India's electricity sector begin with generation capacity. But the more immediate problem sits much closer to the consumer in the distribution network.

India's distribution companies continue to report Aggregate Technical and Commercial (AT&C) losses of around 20% to 22%. These losses remain materially above global benchmarks. They arise from a mix of technical leakage, ageing networks, metering gaps, theft, billing inefficiencies and weak collections.

The government's Revamped Distribution Sector Scheme (RDSS), with an outlay of approximately ₹3.03 lakh crore, is designed to bring AT&C losses down to 12% to 15% through network strengthening, feeder segregation, system metering, smart meters, underground cabling, substation augmentation and distribution automation.

This is where G V Electricals becomes relevant

Reducing AT&C losses requires more than equipment procurement. It needs continuous work on the ground maintaining feeders and substations, locating faults, restoring supply, managing meters, strengthening low-tension networks and improving day-to-day network performance.

These are already core capabilities of G V Electricals. The company operates across network O&M, metering and electrical infrastructure. Its field teams undertake preventive and breakdown maintenance, fault rectification, substation operations, meter-related services and distribution-network support.

The India Investment Grid lists 258 electricity-transmission opportunities worth USD 57.05 billion and another 130 electricity-distribution opportunities worth USD 17.74 billion. Odisha, G V Electricals’ largest operating market features among the leading states for distribution opportunities.

The broader market is also expanding quickly. The report estimates India's Power EPC market at USD 23.57 billion in 2025 and projects it to reach USD 60.72 billion by 2030.

For G V Electricals, the most important opportunity may not be the headline market size. It is the gap between today's inefficient distribution network and the government's targeted loss levels. Every feeder strengthened, meter upgraded, substation maintained and fault restored moves the system closer to that target and sits within the company's operating territory.

The Final Takeaway

FY26 brought stronger revenue, a sharp jump in profitability, better returns and a ₹553.70 crore order book. The customer base is sticky, O&M provides recurring work and the industry opportunity is expanding.

The bullish view in one line

G V Electricals has spent 40 years building execution credibility and is now entering the phase where that credibility can translate into larger projects, higher revenue and stronger operating leverage.

Its order book, recurring revenue and repeat clients conitnue to drive in the growth of existing businss. While new growth will come from data centre business and newer geographies.

But HEG is now preparing for a major restructuring. Its graphite-electrode business will move into a separate listed company, while the existing company will absorb Bhilwara Energy and become HEG Greentech.

This new company will bring together three very different businesses advanced battery materials through TACC, battery systems through REPlus, and the group’s green-power assets.

The logic is simple. The mature hydropower business can provide steady cash flow, while the newer businesses in anode materials, graphene and energy storage pursue growth

HEG Greentech is not a new company starting from an empty plot of land. It is a proposed listed platform being assembled through a demerger and a merger. It will combine old cash-generating power assets with newer, capital-hungry clean-tech businesses.

The easiest way to understand HEG Greentech is this: mature hydropower is being used as the financial base for much younger bets in battery materials, graphene and energy storage

HEG plans to move its graphite-electrode business into a separate listed company. The company left behind will absorb Bhilwara Energy and be renamed HEG Greentech. That entity will own advanced battery materials through TACC, 74% of battery-systems company REPlus, and the group’s green-power assets

The plan is ambitious: about ₹5,500 crore of capex, funded broadly with ₹1,500 crore of equity and ₹4,000 crore of debt. The presentation also makes clear that future expansion depends on approvals, funding and market conditions

What is HEG Today?

HEG Limited’s core business is graphite electrodes. These electrodes are used in electric-arc furnaces that make steel.

The World’s EAF share is expected to accelerate to 40% by the end of the decade as depicted in the below chart.

HEG owns World’s Largest Single Site Graphite Electrode Plant under one roof with a capacity of 80,000 tons p.a. for a long time. Now further expanding to 115,000 tons by early 2028.

The traditional business is also having tailwind.

As due to ongoing geo-political conflicts the input costs and energy prices are rising. The Ocean freights have started putting pressure on margins which necessistates price increase of graphite electrodes.

Strong EAF capacity pipeline around ~110 mmt additions by 2030 (20 mmt already added), driving ~200,000 tons incremental graphite electrode demand (ex-China). Ex-China demand subdued, Production ~212 mmt, flat QoQ, indicating stable but weak underlying demand outside China

But HEG and the wider LNJ Bhilwara Group had also built or invested in businesses outside graphite electrodes. That includes:

1. There were hydropower projects under Bhilwara Energy.

2. A battery-storage company called REPlus.

3. An advanced-carbon company called TACC.

4. A graphene programme.

5. Wind power.

6. New solar and storage projects

These businesses did not fit neatly inside the public-market identity of a graphite-electrode manufacturer. They also needed a different amount of capital, a different risk appetite and a different kind of investor

The answer was Restructuring.

The Restructuring

Step 1: Move Graphite Out

The graphite-electrode business, its related assets and liabilities, and 76.5 MW of captive power will move from the current HEG Limited into HEG Graphite Limited

Step 2: Give Shareholders Both Companies

Existing HEG shareholders are to receive one share of HEG Graphite for every one share held in HEG. HEG Graphite will be listed and is proposed to take the familiar name “HEG Limited”

Step 3: Merge Bhilwara Energy

Bhilwara Energy Limited will merge into the old HEG Limited. Its shareholders, other than HEG itself, will receive eight HEG shares for every seven BEL shares under the scheme

Step 4: Rename the Old Company

The old HEG Limited, the company left after graphite is moved out will be renamed HEG Greentech Limited.

Shareholders and creditors approved the scheme in May 2026. The NCLT’s Indore Bench heard the petition on 2 July 2026 and reserved its order.

So an existing HEG shareholder should ultimately own shares in two listed companies:

HEG Greentech: What sits inside?

*The proposed platform combines 100%-owned advanced materials, a 74% stake in REPlus and 100%-owned green-power generation assets

The proposed company has three main pillars. They look connected, but they are at very different stages of maturity.

Why Combine these Businesses?

The company’s logic has three parts.

First, cash flow. Hydropower is the stable side of the platform. The two operating hydro projects are described as debt-free and together are said to generate more than ₹300 crore of annual free cash flow based on historical performance.

Second, technical adjacency. HEG has decades of experience in graphitisation and graphite procurement. That knowledge can help TACC manufacture synthetic-graphite anode material. REPlus then sits further down the battery chain, building battery systems for EV and grid-storage use.

Third, funding flexibility. A separately listed Greentech company can raise debt or equity without tying every decision to the cyclical graphite-electrode business

TACC will make anode material. REPlus makes battery modules, packs and storage systems, generally using cells sourced from cell manufacturers. One business does not automatically become a captive customer of the other. The link is strategic, not a guaranteed internal sale

Pillar I: The Anode Material Bet

The anode is the negative electrode inside a lithium-ion battery. Graphite is the dominant anode material, especially in mainstream lithium-ion chemistries.

This is the closest Greentech business to HEG’s historic capability. HEG already understands high-temperature graphitisation, carbon materials and global raw-material sourcing.

Where the Project stands

TACC has operated a 200-tonne demonstration plant at Mandideep. The company says this pilot follows the same process route planned for the commercial plant and has supplied material for customer validation.

Phase I is a 20,000-tonne commercial facility. The engineering is complete, procurement is 85% complete and start of production is targeted for the first quarter of FY28.

The plant can reportedly be expanded to 30,000 tonnes with a lower incremental investment. Management’s longer target is 60,000 tonnes by FY32.

Why the Opportunity is Real

The localisation argument is strong. The IEA has estimated that China produces more than 90% of global anode active material. India is also supporting domestic battery-cell manufacturing through the ₹18,100 crore ACC battery PLI programme, which targets 50 GWh of domestic capacity.

TACC says it is seeing early commercial interest from global automotive companies, cell makers and energy-storage customers. Advanced discussions include potential multi-year offtake of more than 40,000 tonnes with a European automotive OEM, over 70,000 tonnes with a North American automotive company, and further discussions across APAC and India.

The opportunity is meaningful, but it is still at the validation and MoU stage. These discussions are non-binding, so the key milestone will be conversion into firm contracts before the 20,000-tonne anode plant begins commercial production

Graphene: Exciting but keeping outside the Base

Graphene is one layer of carbon atoms arranged in a honeycomb structure. In small quantities, it can improve strength, conductivity, wear resistance or thermal performance.

The company has their own process for manufacturing Graphene with continuous consistent results. Also graphene is manufactured indigenously with Graphite.

Already working on different stages of commercial scale validations with key customers for various applications

TACC is targeting applications in concrete, roads, coatings, textiles, lubricants, batteries and data-centre thermal materials. The company has filed patents, built an R&D team and entered validation partnerships with research institutes and commercial companies.

A 85 to 95 tonne capacity plan and opportunity pipeline.

Graphene may become a valuable option. It should not yet be treated like a mature earnings stream. For now, the more conservative approach is to value it only after repeat commercial orders, stable product specifications and visible margins appear

Pillar II: REPlus and The Storage

REPlus is the most commercially active of the newer Greentech businesses.

It designs and manufactures battery modules, packs, racks and containerised systems. It also develops battery and energy management systems and provides project execution and service support.

The company has a 1 GWh operating facility with two 500 MWh lines. A 5 GWh expansion is under construction, taking the target to 6 GWh by the second half of FY27.

*REPlus plans to move from 1 GWh to 6 GWh of manufacturing capability. Expansion timelines are management estimates and depend on funding and market conditions

REPlus is building its advantage through a mix of manufacturing, in-house engineering and project execution. The company already operates a 1 GWh facility and has capabilities across battery design, embedded hardware, software, BMS and EMS development.

It also has a pan-India service network and experience in commissioning storage projects, which is important in a business where installation, monitoring and after-sales support matter as much as manufacturing

The next focus is localisation. REPlus plans to source or develop more components locally, including enclosures, cooling systems, wiring, sensors and fire-safety systems.

Its product portfolio covers EV battery packs, telecom and residential applications, data-centre batteries and containerised storage systems.

The company is also working with IIT Madras on mechanical design and thermal management, while global certifications for its 5.01 MWh storage system are targeted by Q3 FY27.

But storage-system assembly is competitive. Cell prices move quickly, customers demand performance guarantees and projects can consume working capital. REPlus also represents only 74% economic ownership for HEG Greentech, not 100%.

Pillar III: HydroPower Base

This is the part of HEG Greentech that makes the rest of the plan more credible. The HydroPower Journey of HEG which builds stable green cash flows is as follows:

The operating portfolio consists of an 86 MW hydro plant, a 192 MW hydro plant and 14 MW of wind capacity. The two hydro plants have long operating histories and are described as debt-free.

*The operating base is 278 MW of hydro plus 14 MW of wind. A BESS IPP, solar project and another hydro plant are under development

The stable hydro cash flow can support equity contributions to new projects and improve access to debt. It can also soften the early losses or low utilisation of the anode and battery businesses.

Still, hydropower is not risk-free. Generation depends on hydrology. The Himachal projects provide 20% free power to the state government, while the Uttarakhand project is expected to provide 13%. New projects also carry construction, tariff and commissioning risk.

HEG has the right to win due to proven execution backed by fund-raising ability. Even the IRR from the projects are strong by selecting projects which generate equity IRR of 18% to 20%

The 5,500 Crore CAPEX

HEG Greentech has outlined a capex plan of around ₹5,500 crore, with the anode-material business as the main growth driver. Around ₹3,150 crore is planned for 30,000 tonnes of anode capacity, followed by ₹2,000 crore for green power, ₹250 crore for REPlus and ₹200 crore for graphene

*The company presents the funding plan as illustrative. It also targets a FY27 net worth of about ₹2,700 crore and a steady-state FY30 ROCE of about 17%

The proposed funding mix is ₹1,500 crore of equity and ₹4,000 crore of debt. The equity portion may come from existing net worth, hydro cash flows, committed investor capital or a future fundraise not necessarily a single public issue

Management expects a net worth of about ₹2,700 crore in FY27 and targets a steady-state ROCE of around 17% by FY30. One small point: the individual allocations add up to ₹5,600 crore, so the ₹5,500 crore headline should be read as an approximate figure

The Equity Raise

In March 2025, Bhilwara Energy agreed to a ₹250 crore investment led by Singularity Growth Opportunities Fund II. That first investment closed in April 2025

The agreement also gave Singularity an option for another ₹250 crore. In September 2025, BEL allotted partly paid shares for this second amount and received ₹25 crore upfront. The remaining 90% was structured to be paid when called by BEL under the agreement

So it is more accurate to say that a ₹500 crore equity round was arranged, rather than assume every rupee of the second tranche was already sitting as cash on the balance sheet at that date

Another Fund Raise?

In project finance, equity can come from existing net worth, retained cash flow, already committed investor money or fresh capital.

Management expects HEG Greentech to have a net worth of around ₹2,700 crore in FY27 and says the hydro assets can generate ₹300 crore-plus of annual free cash flow. That can fund part of the equity requirement.

The anode project has a logical parentage. Synthetic graphite is not a random diversification for HEG. Graphitisation, raw-material sourcing and carbon know-how are genuine areas of experience.

Storage demand is moving from promise to procurement. Government VGF programmes, renewable-energy additions and grid-balancing needs are creating actual BESS tenders.

The platform has several ways to win. If anode qualification takes longer, hydro and REPlus may support the business. If graphene finds a commercial application, it adds upside without being the only thesis.

The Bottomline

HEG Greentech should not be viewed as a new green-energy startup.

On one side are mature, debt-free hydro assets producing cash. On the other are high-growth but higher-risk projects in synthetic-graphite anodes, graphene, battery systems, solar and grid storage.

The restructuring can make the story easier to see. It cannot remove the execution risk.

To understand the chaos, you have to look at the MMDR Act or Mines and Minerals (Development and Regulation) Act.

Before 2021, if a cement company wanted to sell itself or merge with another, it faced a “poison pill”, because the law stated that if you transferred ownership, you had to surrender your limestone mines and rebid for them in an open auction.

Imagine buying a fully furnished house, but the law says the moment you take the keys, the kitchen appliances are taken away and auctioned to the highest bidder.

No one wanted to take that risk.

Giants like Ambuja and ACC (then owned by Swiss firm Holcim) were stuck in a corporate “unhappy marriage”- they lived under the same roof but couldn’t legally merge their assets without losing their precious limestone.

The 2021 Liberalization: Removing the Barriers to M&A

The MMDR Amendment Act of 2021 was specifically designed to remedy these structural defects and revitalize the mineral sector.

The Big Question: Build vs Buy

The new rule was simple but revolutionary: Companies could now transfer mining leases without rebidding.

The Adani Group’s “One Cement” platform is the most prominent manifestation of this strategy.

As of Q2 FY26, Ambuja Cements’ existing assets (Ambuja + ACC) already delivered an EBITDA of ~₹1,189 per tonne. The company aims to leverage the broader platform to reach a target EBITDA of ₹1,500 per tonne by FY28.

This would be achieved through an AI-driven layer called “CiNOC” (Cement Intelligent Network Operations Centre), which will facilitate a “paradigm shift” in manufacturing and logistics efficiency.

Logistics Optimization and Port Connectivity

Cement is a bulky, low-value commodity where freight and distribution costs can account for up to 25% of the total cost to the customer.

The “One Cement” strategy also prioritizes the optimization of the “lead distance”: the distance between the plant and the consumer.

Limestone of “cement grade” is a finite resource, and its distribution in India is highly non-uniform, with 93% of proven reserves concentrated in just 10 states. As the industry consolidates, the battle for the “Limestone Bank” has become the primary theater of competition between UltraTech and the Adani Group.

Mapping the Consolidated Limestone Reserves

The two titans have built massive reserves to tookover rest of the industry.

UltraTech Cement maintains a lead with disclosed reserves of ~10 billion tonnes, while the Adani Group (Ambuja Cements) has aggressively closed the gap to 8 billion tonnes through its acquisition spree and active participation in state auctions.

The Adani Group’s strategy has been particularly aggressive in state auctions. In FY24 alone, Ambuja Cements won 587MT of reserves through auctions and added another 275 MT in the Q1FY25.

Reclassification of Limestone

A critical regulatory development occurred on October 10, 2025, when the Ministry of Mines issued a notification classifying all limestone as a “Major Mineral”. Previously, limestone used for manufacture of lime as a building material was treated as a “Minor Mineral,” which fell under the jurisdiction of state governments and had simpler regulatory requirements.

Due to Reclassification, the central government has centralized regulation. Hundreds of minor mineral leaseholders must now register with the Indian Bureau of Mines (IBM) and comply with rigorous reporting, digital mapping, and sustainable mining star-rating templates.

Now, future limestone concessions will only be granted through the national auction process, where deep-pocketed giants like UltraTech and Adani can outbid smaller players who lack the capital to pay high auction premiums.

Many will find it more profitable to exit the business by selling their “Major Mineral” leases to the giants rather than navigating the complex new IBM regime.

The 2030 Lease Cliff and Scarcity Moat

The consolidation of the limestone bank is also a defensive move against the “2030 Lease Cliff.” Under the MMDR Act, many existing mining leases are set to expire from 2030 onwards. When these leases expire, they will be put up for auction.

By acquiring mid-tier players like Orient and India Cements today, UltraTech and Adani are securing “proved” limestone reserves that are already operational, thereby mitigating the risk of future auction failures. This “raw material security” is becoming a powerful moat that prevents new entrants from achieving the scale required to compete at a national level.

The 50% Merchant Sale Rule

Previously, if a cement plant faced a shutdown or a seasonal demand slump, its integrated mining operations had to be scaled back.

The MMDR 2021 Amendment’s provision allowing captive mines to sell up to 50% of their annual production in the open market provides a significant operational hedge.

Now, the mining assets can maintain full production, selling excess limestone to other cement players, steel plants, or chemical industries. This ensures higher capacity utilization of expensive mining equipment and creates a new revenue stream that offsets the fixed costs of mining.

Under “One Cement” platform, Limestone from a mine originally linked to an ACC plant can now be legally diverted to an Ambuja grinding unit or a third-party buyer if the logistics are more favorable.

Current Status

Company is waiting for three companies which will bring 25 south and 25 downtown into the company. It has already received the NOC from exchanges for two mergers. Approval for one entity is awaited.

Company expect it to be completed in a short period because once the exchanges give clearance, then we will file the application in NCLT. The company will follow legal procedure, which will take around 8-12 months time(By FY27).

Post Issue Shareholding

Debt Levels

In Listed Company, debt reduced significantly and now outstanding at ₹1060Crores only. (as on 30-Sep-2025).

Debt levels for entities which is going to merge in Listed Hubtown:

There is no debt currently on 25 West, whereas the debt on 25 South and 25 Downtown is with Fund / Institution. The 25 South and 25 Downtown projects are expected to generate enough surplus to pay off the aforementioned debt. Company might become net-debt-free in coming years as the cash flow generation kicks in from 25 Residences.

This new debt is structurally different.

It is not corporate-level distress debt; it is construction finance backed by high-velocity inventory (like 25 South which is already 90%+ sold).

Management expects the free cash flow from these projects to be “more than sufficient” to retire this debt and fund expansion.

During Q2, Company also raised approximately INR1 billion of low interest debt on flexible payfrom-cash-flow terms that fit well with our capital strategy. Apart from this, Company is also re-negotiating for the interest rate of the upcoming higher debt.

The “Low FSI Cost” Moat: Access to Mumbai’s Prime Land at Lowest Cost

25 Downtown: Case behind ultra-luxury redevelopment project

The conflict centered on the redevelopment of a 17-acre slum rehabilitation project at Tulsiwadi, Tardeo (South Mumbai), now marketed as “25 Downtown”.

• The Partnership: The project was originally a joint venture between DLF (37.5%), Shapoorji Pallonji Group’s Chinsha Property (37.5%), and Hubtown (25%).

• The Trigger: In 2021, the SPV developing the project defaulted on a ₹900 crore loan from PNB Housing Finance. Following the default, PNB Housing Finance invoked the shares pledged by DLF and Chinsha to recover its dues and subsequently assigned the debt to Omkara Asset Reconstruction Company (ARC).

• The Conflict: The invocation of shares effectively wiped out DLF’s equity in the project. DLF contested this, alleging wrongful ouster and violation of shareholder rights, leading to prolonged litigation in the Bombay High Court and NCLT against Hubtown and the lenders.

• The Resolution (July 2025): DLF and Hubtown reached a settlement where DLF agreed to withdraw all litigation and exit the project completely in exchange for a settlement payout.

Repayment Plan & Current Status

Under the consent terms filed, Hubtown (via its affiliate Twenty-Five Downtown Realty) agreed to pay DLF a total exit settlement of ₹800 crore.
