It attached the moment the organisation deployed AI in a context that affects people&#8217;s rights, livelihoods, or safety. <strong>A board that has approved an AI strategy without ever discussing AI oversight has not governed its AI programme. It has delegated it entirely &#8212; precisely the governance failure the Caremark doctrine was designed to find and punish.</strong></p><blockquote><p><em><strong>A board briefing on AI capability answers: what can we do now? A board briefing on AI governance answers: what are we now responsible for? Only the second briefing discharges a director&#8217;s monitoring obligation. Most boards, this quarter, have still only received the first.</strong></em></p></blockquote><h3><strong>Why the GC and Not the CTO</strong></h3><p>The CTO understands the technology better than anyone in the organisation. The GC understands what a director&#8217;s monitoring obligation actually requires &#8212; and can translate the organisation&#8217;s current AI posture against that requirement in language that carries legal weight. When the CTO says &#8220;our AI governance is strong,&#8221; it is a statement of confidence. When the GC says &#8220;our governance documentation does not yet satisfy our Caremark monitoring obligation,&#8221; it is a legal assessment. The board&#8217;s response to those two statements is structurally different. Only one of them creates a dated, documented record that protects directors. The GC owns that record.</p><blockquote><p><strong><span>Cost of the Problem</span></strong></p></blockquote><h3><strong>The Five Things Every Board Must Understand &#8212; And the Exposure Each One Represents If Unaddressed</strong></h3><h4><strong><span data-color="#a64d79" style="color: rgb(166, 77, 121);">Point 1 &#8212; The Inventory Gap Is Already a Governance Finding</span></strong></h4><p>Most boards, asked directly, cannot say how many AI systems are currently in active use across their organisation, who approved each one, or what oversight structure governs it. That uncertainty is not merely an information gap. It is a governance finding in its own right: a board cannot discharge a monitoring obligation over what it has never been told exists. The average enterprise has three to five times more AI tools in active operational use than its formal governance documentation reflects, as shadow adoption consistently outpaces formal approval. Every undocumented system is an ungoverned deployment that has not been assessed, supervised, or disclosed &#8212; and the board&#8217;s liability exposure tracks directly to the monitoring obligation, not to the documentation it has not yet seen.</p><h4><strong><span data-color="#a64d79" style="color: rgb(166, 77, 121);">Point 2 &#8212; The Regulatory Ground Has Moved Since Your Last Briefing</span></strong></h4><p>Colorado&#8217;s original AI Act &#8212; widely discussed as the first comprehensive US state AI statute &#8212; was repealed in May 2026 before it ever took effect, replaced by a narrower framework with different obligations on a later timeline. The EU AI Act&#8217;s most consequential Annex III high-risk obligations, originally set for August 2, 2026, were delayed to December 2, 2027 under a May 2026 Digital Omnibus provisional political agreement. A board operating on an AI regulatory picture from twelve months ago is operating against a map that has materially changed. Governance decisions made against outdated assumptions are not merely uninformed. They are potentially misdirected &#8212; focusing compliance effort and reporting attention on obligations that have since shifted, while missing the obligations that replaced them.</p><h4><strong><span data-color="#a64d79" style="color: rgb(166, 77, 121);">Point 3 &#8212; The Oversight Duty Has Already Attached</span></strong></h4><p>Under Caremark and its progeny, the board&#8217;s monitoring obligation does not require a board resolution to activate. It attaches when the organisation operates in a domain that creates significant legal risk &#8212; and deploying AI in consequential decision-making satisfies that threshold without any further conditions. A board that has never discussed AI governance, while AI is already operating across employment, credit, customer, or legal decisions, has an open Caremark exposure right now. Not a future risk to plan for &#8212; a current position to address. The defence against Caremark liability is a functioning oversight system, not the intention to build one.</p><h4><strong><span data-color="#a64d79" style="color: rgb(166, 77, 121);">Point 4 &#8212; The Contracts and Coverage Were Written for a Different Risk Environment</span></strong></h4><p>Vendor agreements negotiated when AI tools were considered low-stakes productivity software contain no AI-specific indemnification, no audit rights over model performance, no model update notification requirements, and no discriminatory output liability allocation. Insurance policies renewed in the last eighteen months may carry new ISO AI exclusion endorsements &#8212; CG 40 47, CG 40 48, CG 35 08 &#8212; that strip AI-related claims from coverage without the risk language being visible in the broker&#8217;s summary. A board that has approved an AI strategy without directing a review of its governing contracts and coverage has approved a strategy whose legal and financial risk architecture remains unmapped.</p><h4><strong><span data-color="#a64d79" style="color: rgb(166, 77, 121);">Point 5 &#8212; The One Concrete Ask That Changes Everything</span></strong></h4><p>The single most protective action a board can take this quarter is not approving a budget or adopting a policy. The general counsel correctly identifies that this is a GDPR matter and correctly remembers the 72-hour rule. What the team gets wrong is when the clock started. Awareness means a reasonable degree of certainty that a breach affecting personal data has occurred, not full certainty about its scope. A clinician notices and escalates internally. </span></em></p><p>The response, in the first week, is by every account well-intentioned: leadership wants to understand the full scope before saying anything publicly, wants to avoid alarming patients unnecessarily while the investigation is ongoing, and wants the eventual communication to be accurate rather than speculative. Every one of those instincts, described in isolation, sounds responsible.</p><p>What actually happens is different from what was intended. &#8220;Understanding the full scope before saying anything&#8221; becomes a three-week internal investigation during which affected patients are not told their care may have been affected by anything, even provisionally. &#8220;Avoiding unnecessary alarm&#8221; becomes a decision not to flag the issue to the regulator until the internal investigation concludes, well past any reasonable notification window. And &#8220;accurate rather than speculative&#8221; becomes the standard used to justify saying nothing at all, rather than saying something true and provisional while the fuller picture develops.</p><p>None of the people in this scenario decided to conceal anything. They decided, individually and in good faith, to wait. The cumulative effect of those individually reasonable decisions to wait is, from the outside, indistinguishable from a decision to conceal &#8212; and that is precisely the trap. <strong>Concealment in AI governance crises is rarely a single dramatic choice.
