Este art&#237;culo se enfocar&#225; espec&#237;ficamente en los beneficios de estructurar APPs en el sector energ&#233;tico.</p><div><hr></div><h3>Reducci&#243;n de Costos de Inversi&#243;n y Mantenimiento</h3><p>La inversi&#243;n de capital y el mantenimiento requieren costos iniciales significativos que el sector p&#250;blico puede ser incapaz &#8212;o no estar dispuesto&#8212; a asumir. Las corporaciones p&#250;blicas de energ&#237;a financian sus gastos de capital, o <em>capex</em>, a trav&#233;s de las tarifas que pagan los consumidores. Si aumentan las necesidades de inversi&#243;n, tambi&#233;n deben aumentar las tarifas para cubrir esos costos. Sin embargo, si una corporaci&#243;n p&#250;blica se niega a aumentar tarifas para evitar un costo pol&#237;tico, debe postergar el mantenimiento o mejoras necesarias, o recurrir a financiamiento externo (es decir, deuda). Ambas opciones trasladan las consecuencias a la siguiente generaci&#243;n.</p><p>Un operador privado debe asumir estos gastos para continuar operando y garantizar el cumplimiento del contrato de APP.</p><div><hr></div><h3>Desarrollo de Energ&#237;a Alternativa</h3><p>La crisis del petr&#243;leo de 1973, derivada de la guerra del Yom Kipur, provoc&#243; un aumento dr&#225;stico en los precios del crudo, revelando la dependencia del mundo occidental de las reservas de petr&#243;leo de Medio Oriente. Desde entonces, pa&#237;ses como Estados Unidos han buscado reducir su exposici&#243;n a estos choques invirtiendo en reservas de petr&#243;leo o en fuentes renovables como la solar, e&#243;lica o hidroel&#233;ctrica. Sin embargo, estas fuentes tienden a depender de tecnolog&#237;as m&#225;s recientes y costosas. Particularmente la energ&#237;a solar, que suele ser intermitente (produce m&#225;s durante el d&#237;a), requiere bater&#237;as para almacenar la energ&#237;a que se produce cuando el sol est&#225; presente, especialmente considerando que el consumo tiende a aumentar por la noche (6-9 pm).</p><p>El uso de APPs facilita la inversi&#243;n en estas tecnolog&#237;as porque un operador privado est&#225; m&#225;s incentivado a invertir a largo plazo para aumentar su retorno econ&#243;mico. Adem&#225;s, un operador privado suele obtener financiamiento en mejores condiciones que una corporaci&#243;n p&#250;blica con historial de mala administraci&#243;n, como ha ocurrido en Puerto Rico y Argentina. En estos casos, el operador asume las deudas.</p><p>Por supuesto, debe aclararse que una APP no constituye una privatizaci&#243;n total, sino un contrato de concesi&#243;n entre el gobierno y el operador privado. Por tanto, el gobierno debe seguir cumpliendo un rol de supervisi&#243;n para garantizar que el operador cumpla con las exigencias regulatorias y contractuales. Por ejemplo:<br>(i) asegurar que los contratos del operador privado pasen por un proceso competitivo de licitaci&#243;n para obtener la oferta m&#225;s favorable;<br>(ii) verificar que los precios de generaci&#243;n de energ&#237;a alternativa sean razonables y alineados con el mercado;<br>(iii) garantizar que el operador cumpla con m&#233;tricas de desempe&#241;o, si corresponde; y<br>(iv) asegurar que el contrato est&#233; generando un beneficio social a los residentes del pa&#237;s.</p><div><hr></div><h3>Elimina la Incertidumbre Pol&#237;tica</h3><p>El control estatal del sistema energ&#233;tico puede ser positivo o negativo dependiendo de la gesti&#243;n y los riesgos pol&#237;ticos. La principal empresa el&#233;ctrica de Argentina, YPF, fue privatizada en 1990 y regres&#243; a control estatal en 2012 cuando el gobierno adquiri&#243; el 51% de sus activos. Sin embargo, la empresa sigue siendo altamente rentable, cerrando 2024 con $2.3 mil millones en ganancias netas. Por tanto, mientras su gesti&#243;n tome decisiones inteligentes para beneficio de todas las partes interesadas, incluyendo el 49% de propiedad privada, aporta ingresos esenciales al Estado argentino. En Colombia y M&#233;xico, varias empresas participan en la generaci&#243;n y distribuci&#243;n el&#233;ctrica.</p><p>En Puerto Rico, la Autoridad de Energ&#237;a El&#233;ctrica (AEE) tuvo el monopolio total de la red el&#233;ctrica hasta el 1 de junio de 2021, cuando LUMA asumi&#243; el control de la transmisi&#243;n y distribuci&#243;n mediante una APP. Dos a&#241;os despu&#233;s, Genera asumi&#243; el control de la generaci&#243;n de energ&#237;a bajo el mismo modelo. La privatizaci&#243;n parcial del sistema fue necesaria porque la AEE no ten&#237;a flujo de caja suficiente para costear el mantenimiento ni la inversi&#243;n de capital, lo que llev&#243; a apagones frecuentes y generadores con d&#233;cadas de antig&#252;edad. Adem&#225;s, la AEE se hab&#237;a convertido en un centro de empleos pol&#237;ticos bien remunerados, con beneficios que estaban financiados en menos de un 5% cuando se declar&#243; en quiebra en 2017. El gobierno federal de EE.UU. y los inversionistas extranjeros se sintieron m&#225;s c&#243;modos financiando a un operador privado que al operador estatal hist&#243;ricamente mal administrado.</p><p>As&#237;, una APP reduce la incertidumbre pol&#237;tica al limitar la discrecionalidad del gobierno para asignar inversiones con fines pol&#237;ticos. Pa&#237;ses como Argentina han demostrado que el sector energ&#233;tico puede permanecer bajo control estatal mientras la gesti&#243;n sea eficaz y genere ingresos recurrentes para el Estado. Permitir la propiedad privada promueve el uso productivo del capital y desincentiva el malgasto. Por otro lado, Colombia y M&#233;xico han abierto su sistema energ&#233;tico al mercado, permitiendo m&#250;ltiples operadores para la generaci&#243;n y distribuci&#243;n. En estos casos, el Estado act&#250;a solo como regulador, y toda ganancia proveniente de las tarifas es recolectada por las empresas.</p><div><hr></div><h3>Consideraciones Generales</h3><p>La estructura espec&#237;fica de cada APP depender&#225; de las caracter&#237;sticas del pa&#237;s. Naciones con marcos legales y regulatorios s&#243;lidos, instituciones estables, madurez operativa (n&#250;mero y &#233;xito de APPs previas), ambiente pol&#237;tico y empresarial favorable, y mecanismos financieros para infraestructura, tienen m&#225;s probabilidades de atraer operadores experimentados y mantener propiedad p&#250;blica parcial a trav&#233;s de una empresa conjunta (<em>joint venture</em>). Las ganancias y gastos se asignan entre las partes mediante negociaci&#243;n y contrato.</p><p>Por el contrario, pa&#237;ses con historial de corrupci&#243;n pol&#237;tica y mala gesti&#243;n probablemente tendr&#225;n que ceder la propiedad al operador privado. En estos casos, como en Puerto Rico, el operador privado asume la propiedad total de los activos, incluyendo todos los costos y beneficios. El gobierno queda relegado a un rol regulador.</p><p>Finalmente, para que una APP sea exigible, debe cumplir con las leyes y regulaciones del pa&#237;s, incluyendo normas de contrataci&#243;n p&#250;blica, leyes espec&#237;ficas del sector energ&#233;tico, ambientales, permisos y laborales, entre otras. Cuanto m&#225;s oneroso sea el entorno regulatorio, mayores ser&#225;n los costos de cumplimiento y m&#225;s dif&#237;cil ser&#225; que el operador privado obtenga beneficios. Public energy corporations fund their capital expenditures, or capex, from the rates paid by consumers. If capex needs increase, the corresponding consumer rates must increase also to meet these needs. However, if a public corporation refuses to increase rates to avoid political backlash, it must either postpone the necessary maintenance or improvements, or seek external funding (i.e debt). Either of these options defers the consequences for the next generation. </p><p>A private operator must assume such expenses to continue operating and ensure compliance with the PPP contract.</p><p><strong>Development of Alternative Energy </strong></p><p>The 1973 oil crisis stemming from the Yom Kippur war led to drastic increases in the price of oil, revealing the Western World&#8217;s dependency on Middle Eastern petroleum reserves. Since then, countries like the US have sought to reduce their exposure to such price shocks by establishing oil reserves or investing in renewable energy sources, like solar, wind or hydro. However, renewables tend to rely on newer, more expensive technology. Specifically, solar energy, which tends to be intermittent (produces more during the day when the sun is out) requires the use of batteries to store the energy that is produced during the day. Even more so given that consumption tends to peak during the evening (6-9pm) when people return from work. </p><p>The use of PPPs facilitates investment in these technologies because a private operator is more likely to invest to increase its economic return in the long run. Further, a private operator is more likely to obtain favorable financing than a public corporation with a history of mismanagement, as has been the case in Puerto Rico and Argentina. In such situations, the operator assumes the debt liabilities. </p><p>Of course, it should be noted that a PPP does not constitute a complete privatization, but a concession contract between the government and the private operator. As such, the government must still assume a supervisory role in ensuring that the operator complies with regulatory and contractual requirements. For example, (i) ensure that the private operator&#8217;s contracts go through a competitive procurement process to obtain the most favorable offer, (ii) that the alternative energy generation prices are reasonable and aligned with the market, (iii) that the operator is complying with performance metrics, if applicable, and (iv) that the contract is providing a social benefit to the nation&#8217;s residents.</p><p><strong>Removes Political Uncertainty</strong></p><p>State control of the energy system can be positive or negative depending on the management and political risks. Argentina&#8217;s primary electrical company, YPF was privatized in 1990 and brought under state control in 2012 when the government purchased 51% of its assets. However, the company is still massively profitable, closing 2024 with $2.3 billion of net income. As such, so long as the company&#8217;s management is making intelligent decisions to the benefit of <strong>all stakeholders</strong>, including the 49% privately owned, it is providing essential revenue to Argentina&#8217;s government. In Colombia and Mexico, various companies participate in the generation and transmission and distribution. </p><p>In Puerto Rico, the Puerto Rico Electrical Company (PREPA) had a complete monopoly on the electrical grid until June 1, 2021, when LUMA assumed control of the transmission and distribution through a PPP. Two years later, Genera assumed control of the generation system through this same method. The partial privatization of the system was needed because PREPA had insufficient cash flow to cover the required maintenance and capital investment, leading to frequent blackouts and generators decades past their useful life. Further, PREPA had become the place-to-be for political friends of the administration then in power, given their attractive salaries and benefits (which were less than 5% funded when PREPA declared bankruptcy in 2017). The US Federal Government and foreign investors felt more comfortable investing in a private operator and lending them money than the historically mismanaged state operator. </p><p>As such, a PPP reduces political uncertainty by reducing the government&#8217;s discretion to allocate investments to achieve political wins. Countries like Argentina have shown that the energy sector can remain under a public corporation so long as the management is effective and produces recurring revenue to the government. Allowing for private ownership of the assets promotes the productive use of capital and disincentivizes malinvestment. On the other side, Colombia and Mexico have opened their energy system to the market, allowing multiple operators for the generation and T&amp;D. Here, the government serves as the regulator for these companies, and all profit derived from the ratepayers is collected solely by the companies. </p><p><strong>Overall Considerations</strong></p><p>The specific structure for each PPP depends on the nation&#8217;s characteristics. Nations with strong regulatory and legal frameworks, stable institutions, operational maturity (number and success rate of previous PPPs), business and political environment for investment, financial facilities for funding infrastructure, are more likely to attract experienced operators and maintain partial public ownership by structuring the PPP through a joint venture. The profits and expenses of the corporation will be allocated between the parties through negotiations and formalized through contract. </p><p>Nations with a history of political corruption and mismanagement, on the other hand, will likely need to cede their ownership to a private operator. In such cases, like in Puerto Rico, the private operator will assume full ownership of the assets, including all expenses and profits. The government is limited to a regulatory role. </p><p>Finally, for a PPP to be enforceable, it must comply with the country&#8217;s laws and regulations, including procurement laws, energy-specific laws, environmental laws, permitting laws, and employment laws, among others. The more burdensome a country&#8217;s regulatory environment is, the higher the compliance costs and the more difficult for a private operator to be profitable. My name is Carlos Micames and the name of this blog is Legonomics. The purpose of Legonomics is to explore relevant issues of law, politics, and economics in Puerto Rico, the US, and Latin America. Given my background in Political Science, and connections with Latin America, particularly Puerto Rico and Argentina, I have always been fascinated with Latin America and what has led to its current situation. To elaborate, Latin America was the richest region in the world when it was discovered by Cristobal Col&#243;n in 1492. The richest areas at that time, now known as Peru, Bolivia, and Mexico, were abundant in natural resources; specifically gold, tin, and silver. However, they are currently among the poorest. Corruption, a bloated regulatory system, and financial instability have led to their declines. </p><p>Darren Acemoglu and James Robinson&#8217;s Nobel Prize winning book, <em>Why Nations Fail</em>, explains that &#8220;failed&#8221; nations are those that have extractive political and economic institutions. Contrarily, &#8220;successful&#8221; nations are those with inclusive political and economic institutions, like the US. Extractive political and economic institutions are those that limit freed and extract resources from its citizens, like centralized, statist, socialist regimes in Russia, Cuba, Haiti, and Venezuela. Inclusive economic institutions are those that promote economic and political freedom, like capitalist democratic societies in the US, Chile, and Singapore. It is the richest Latin American nation in terms of GNP (Gross National Product) per capita, but the poorest state. Moreover, Puerto Rico&#8217;s distinct legal and tax system is much more interventionist than the United States, which is why it is ranked 65 of 190 in the World Bank&#8217;s Ease of Doing Business report, compared to #6 for the US. In upcoming publications, I will elaborate on Puerto Rico&#8217;s archaic permitting system, lack of data strategy which complicates the adoption of AI, leaky tax code, and excessive regulatory framework. </p><p>In conclusion, the combination of a stable legal framework, efficient regulatory system, and strong political institutions are essential to developing a resilient economy. Nations that have moved toward freeing markets, reducing regulations, and granting power to individuals have seen faster growth than others. Ronald Reagan once said that the nine scariest words a person can hear is &#8220;I&#8217;m from the government and I&#8217;m here to help.&#8221; History supports that statement. </p><p>__________________________________________________________________________</p><p>Quisiera aprovechar esta oportunidad y este espacio para presentarme formalmente y explicar el prop&#243;sito de este blog. Mi nombre es Carlos Micames y el nombre de este blog es <strong>Legonomics</strong>. El prop&#243;sito de Legonomics es explorar temas relevantes de derecho, pol&#237;tica y econom&#237;a en Puerto Rico, Estados Unidos y Am&#233;rica Latina.</p><p>Dado mi trasfondo en Ciencia Pol&#237;tica y mis v&#237;nculos con Am&#233;rica Latina &#8212;particularmente Puerto Rico y Argentina&#8212; siempre me ha fascinado la regi&#243;n y qu&#233; ha llevado a su situaci&#243;n actual. Para elaborar: Am&#233;rica Latina era la regi&#243;n m&#225;s rica del mundo cuando fue descubierta por Crist&#243;bal Col&#243;n en 1492. Las zonas m&#225;s pr&#243;speras de aquel entonces, hoy conocidas como Per&#250;, Bolivia y M&#233;xico, eran abundantes en recursos naturales, espec&#237;ficamente oro, esta&#241;o y plata. Sin embargo, actualmente se encuentran entre las m&#225;s pobres. La corrupci&#243;n, un sistema regulatorio inflado y la inestabilidad financiera han contribuido a su declive.</p><p>El libro galardonado con el Premio Nobel, <em>Why Nations Fail</em>, de Darren Acemoglu y James Robinson, explica que las naciones &#8220;fallidas&#8221; son aquellas que poseen instituciones pol&#237;ticas y econ&#243;micas extractivas. Por el contrario, las naciones &#8220;exitosas&#8221; son aquellas con instituciones pol&#237;ticas y econ&#243;micas inclusivas, como Estados Unidos. Las instituciones extractivas son aquellas que limitan la libertad y extraen recursos de sus ciudadanos, como los reg&#237;menes centralizados, estatistas y socialistas de Rusia, Cuba, Hait&#237; y Venezuela. Las instituciones inclusivas son aquellas que promueven la libertad econ&#243;mica y pol&#237;tica, como las sociedades democr&#225;ticas capitalistas de Estados Unidos, Chile y Singapur. Singapur y Estados Unidos est&#225;n clasificados en las posiciones #2 y #6, respectivamente, en el informe de Facilidad para Hacer Negocio<strong>s</strong> del Banco Mundial, gracias a procesos r&#225;pidos para obtener permisos, sistemas tributarios transparentes y bajos, poca regulaci&#243;n, y el uso de tecnolog&#237;a para reducir cargas administrativas.</p><p>Puerto Rico es un caso de estudio extremadamente interesante debido a su relaci&#243;n con Estados Unidos. Es la naci&#243;n latinoamericana m&#225;s rica en t&#233;rminos de PNB (Producto Nacional Bruto) per c&#225;pita, pero el estado m&#225;s pobre. Adem&#225;s, el sistema legal y fiscal distintivo de Puerto Rico es mucho m&#225;s intervencionista que el de Estados Unidos, raz&#243;n por la cual ocupa el puesto 65 de 190 en el informe de Facilidad para Hacer Negocios del Banco Mundial, en comparaci&#243;n con el puesto #6 de Estados Unidos. En futuras publicaciones, profundizar&#233; sobre el sistema de permisos arcaico de Puerto Rico, la falta de una estrategia de datos que complica la adopci&#243;n de inteligencia artificial, un c&#243;digo tributario con filtraciones, y un marco regulatorio excesivo.</p><p>En conclusi&#243;n, la combinaci&#243;n de un marco legal estable, un sistema regulatorio eficiente y unas instituciones pol&#237;ticas s&#243;lidas es esencial para desarrollar una econom&#237;a resiliente. Las naciones que han avanzado hacia la liberalizaci&#243;n de los mercados, la reducci&#243;n de regulaciones y la transferencia de poder a los individuos han crecido m&#225;s r&#225;pido que otras.
