Facility Grid buying PingCx fits into the latter category: While Facility Grid is not often considered a smart building solution vendor, it is supporting a few relevant use cases. We think the firm will continue to offer this breadth of capabilities moving forward, and even expand further into smart buildings and Building OpTech. PingCx shares some capabilities with fault detection and diagnostics (FDD) offerings and is a relatively recent entrant (with less scale than some of the more established FDD platforms).

In this DEAL DESK, we will cover:

• Background on the commissioning process and how it fits into smart building tech and facility management software.

• An overview of Facility Grid and its commissioning (Cx) project management solution peers.

• A review of PingCx and the characteristics the platform shares with FDD.

• What it means for the market and what we think will happen next.

This acquisition and the forward strategy of Facility Grid also leads us to consider the building lifecycle and fragmented array of solutions in this battleground. FG and its peers primarily use the commissioning process as the anchor of their products. PingCx is focused on commissioning too. The solution focuses on automating of some of the manual system checks that a commissioning agent would perform.

But, the commissioning process can be conducted formally at a specific milestone (before occupancy of a new building), or the same steps can be conducted on a more frequent basis as they are necessary. These software solutions make it easier for owners and operators to self-perform. And, with increased demand for recommissioning and retro-commissioning (RCx), in addition to continuous (CCx) and monitor-based commissioning (MBCx), there are clear paths for FG and PingCx to grow by serving more stages of the building lifecycle (and working in concert). As we note below, this isn’t the first merger of a project management tool and an analytics platform in the commissioning space. It may not be the last, either.

Moreover, Facility Grid has another module, its “Sustain” product, which focuses on sustainability reporting and decarbonization (on an ongoing basis). This puts the company in a cohort with peers such as Measurabl, Deepki, Arcadia and even Cambio. And, more generally, this deal works along the same thesis as Autodesk buying MaintainX; bringing the construction/design process closer to the operational lifecycle of existing buildings. As you can probably tell, there is a lot of cover, so let’s jump in.

Key Context

Understanding commissioning is the first step to understanding this deal. Especially for larger, complex and mission-critical buildings, commissioning is a vital step in between construction and occupancy/ongoing operations. While some building owners will commission buildings themselves, there is a wide ecosystem of commissioning agents (Cx agents) that act as a third party inspector to ensure a building will perform as designed. There is typically a commissioning process and then a warranty period in which the building is open, but any commissioned systems/equipment will be repaired if operating improperly. Then the building is just operated like most commercial buildings, some with a keen eye to operational systems and some that may be less aware of how the building is running.

So, what is commissioning? According to a recent industry webinar:

Building Systems Commissioning is a proven, systematic quality assurance process utilized to deliver a new construction or existing facility project that achieves the owner’s objectives and expectations. (Source)

Commissioning covers more than HVAC and controls; it is squarely focused on all the major base building systems. Moreover, there is a combination of manual work and technology/data that can analyze operations. Commissioning requires a system of record for managing the process (think of it as a complex project with lots of stakeholders, timelines, multi-step activities, etc). There also is a fairly wide ecosystem of commissioning agents and market infrastructure. There are professional associations for commissioning (e.g., ACG) and specific events focused on this activity. There is a long tail of relatively small firms; ACG has about 1,200 certified commissioning agents across nearly 500 companies. It’s a subset of commercial buildings construction and operations. And, while commissioning occurs at a discrete point in time, it’s a very critical part of the building lifecycle.

More generally, commissioning is directly related to many of the same themes as smart building technology: energy efficiency, occupant comfort, equipment performance, among others. Software to help with the commissioning process is not so different than software to help run a facility. This acquisition is a strong example to that point. Specifically, workflow and work record type data sets plus operational equipment data tend to complement each other.

And, commissioning and its cousins such as RCx and MBC are defined steps that may have incentives (such as utility rebates) and also are defined industry processes. The formal pre-occupancy commissioning step may be a larger administrative project to manage, and MBCx-style projects may instead require operational data from the critical systems to re-tune the building. But combing these feature sets - as Facility Grid has done - can serve more types of commissioning. And serve them more completely.

There are (at least) two underlying processes here:

1. The project management of the commissioning process, which is delivered by Cx agents or other staff (could be in house employees). There are Cx project management software solutions that help with task management, workflow, time management, and also summarizing and tracking the process. This is similar to what a CMMS product does, though it’s a bit more focused on a discrete project with a start and end date. Facility Grid’s legacy is serving this use case.

2. The data analysis tools used to identify issues that drive energy waste, which can be addressed by the professional staff or vendors. Fault detection and diagnostics software is one example of software that can support retrocommissioning, continuous commissioning, or other types. PingCx focuses on this use case.

This ecosystem is built on the premise that buildings “drift” over time; various commissioning approaches can address this. There’s the procedural step - a task (or tasks) to check the building, and a separate sub-task to collect and review data from the building systems (which can be done manually and occasionally, or regularly in an automated way). Overall, this is one of the best graphics about how various types of commissioning drive efficiency (from LBNL).

Energy use will naturally go up over time, due to entropy generally and how the building is run over time. The yellow shaded area is available energy savings from a recommissioning process that could occur every few years. There is a sizable reduction in energy use right after that process, but energy continues to increase incrementally as the building is used after it is recommissioned. The green shaded area provides more savings because a multi-year process is turned into an ongoing, data driven effort that continuously identifies and addresses issues (this is a core value proposition for energy management or FDD software), which can be done by the in-house technical team, a commissioning agent, or a facility service vendor. The two purple shaded sections highlight the value of more data points and even more active building operations. For example, real time energy data collected from the initial occupancy of the building will identify even more savings opportunities. And, deeper analytics offerings can identify even more savings opportunities. The key point is that while commissioning once every few years may require a project management software solution, commissioning more regularly is predicated on collecting and analyzing more operational data that is more granular. Today this may require an FDD solution integrated into a CMMS. But that combined offering generally looks a lot like Facility Grid + PingCx.

Moreover, there are plenty of ways to deliver the value highlighted above in green and purple. Many smart building and Building OpTech vendors that never use typical commissioning terms still are telling a very similar story. And that story is compelling (because buildings do drift!)

One could break down “commissioning” into a lot more process types, specifically focused on the lifecycle stage of the building (building commissioning occurs before occupancy, while retro- or re-commissioning occur once the building has been occupied), the type of system (e.g., fire/life safety system commissioning), or the type of building (e.g., specific commissioning steps for a mission critical facility such as a data center). If commissioning was an ice cream shop, it might have (almost) 31 flavors. (Notably, it also means that there are plenty of anchors and entry points for solution vendors.)

Quite simply, the current toolset covers this bigger set of processes.

We don’t often see strong distinctions between each of these flavors (from a feature-functionality point of view), though there are some high level breakdowns between new and existing buildings. And, we believe the data and analytics tools may be pulling together these processes and making them a bit more cohesive (and built on consistent data backbones).

Market benchmarks / Valuation comps

Let’s take a closer look at this deal and the firms involved. Facility Grid may be a new name to many of our readers, so let’s first focus on this business and then jump into PingCx and the acquisition itself.

ASUENE secured $87 million in Series D funding led by Decarbonization Partners, bringing its total funding to $161 million and supporting international M&A, AI and product development, and expansion across global sustainability markets.

Aamidor Consulting lens: Asuene’s funding raised now rivals Deepki and Measurabl. The firm already has done more M+A than those two firms. Though, as we analyze below, Deepki is quickly catching up with 3 acquisitions in 2026. Asuene hasn’t entered the US market as directly, other than the N Zero acquisition (which is specifically called out in this press release), It is fair to expect more focus on North America given this press release (and more acquisitions).

Asuene is not focused exclusively on real estate and buildings, with the fundraising press release noting a goal to “establish its platform as the global standard for enterprise sustainability management and the de facto global standard for manufacturing supply chains.” Daikin did join this round, though Daikin is a major manufacturer in addition to being a HVAC supplier. Asuene is another well-funded, growing acquirer to watch.

DEAL DESK: Deepki’s emerging rollup play

Deepki, a French-based ESG data management platform, made two acquisitions in recent weeks, bringing their total acquisition count to 5. The firm was started in 2014, raised money in 2016, 2019 and had a very large round in 2022. Over that time it has expanded its scale across commercial real estate firms throughout the world, while also offering new adjacent capabilities and services. Not as well known in the US, the firm appears to have growth intentions in North America as well as other geographies. Given these acquisitions, it also sees adjacent technology and services as a key to its growth.

ESG data management as a category has been relatively easier to scale than some detailed data-driven smart building solutions. While smart building solutions might be mid-hundreds of millions of square feet deployed (as a best-case scenario), ESG platforms can have billions of square feet under management. Of course, they use less granular data and are easier to deploy. For example, an ESG reporting platform may only require monthly utility bill data for each individual building (e.g., 3-5 data points per building per month). Compare that to a smart building solution that can connect to hundreds or thousands of data points, per building, with 15 minute granularity.

This also means that ESG data management is a reliable entry point for more data-rich offerings due to this ease of deployment, and because it remains relatively sticky (like most of the solutions in our industry). As long as the sales process can extend to new teams that don’t already have reasonable alternative, ESG data management looks like an effective tip of the spear or beachhead offering. These acquisitions appear to follow this strategy.

And Measurabl took this approach when it bought Hatch Data in 2022. And, Deepki’s moves are similar - growing share of wallet and getting deeper into the building’s operations. We expect this approach to continue - it appears to be working for Deepki. (And peers, such as Asuene.)

Deepki has grown beyond just Europe, with a lighter presence in the US and other international locations. Deepki says it has clients across 90 countries. Moreover, there has been significant growth in key metrics such as number of clients, value of assets under management, employee headcount, etc. And, while initially raising a few smaller rounds of funding, the firm had a massive 150M EUR round in 2022.

We’re typically focused on total square footage metrics because that is a useful way to validate TAM and estimate solution penetration plus available white space. In fact, this was a core data point used in our Capital Efficiency research (which is being updated for the fall).

But, in the case of Deepki, there’s also another story: the firm has been steadily expanding its offering surface area (organically and inorganically) and growing its share of wallet. In fact, while the firm’s overall square footage under management count hasn’t changed that much since 2022, the firm has provided other metrics that indicate significant growth.

• A few days later the firm sold Noresco to Opterra (which was formed out of the acquisition of some of Engie’s US operations)

• A few days later, Carrier reported quarterly earnings which shed light on the 75F acquisition, but notably, shared very little about the Noresco sale

The Noresco move is non-consensus, but fits in with some performance contracting trends, while 75F was already white-labeled as Carrier ClimaVision. Carrier previously acquired EcoEnergy Insights a few years ago (now part of Abound) and has one of the largest light commercial HVAC businesses (rooftop units). This all fits in with an integrated light commercial solution, supporting customers across the entire operational lifecycle.

In addition to a full summary of all of these developments, our analysis highlights what this means to the market, and unpacks our initial thoughts of what drives M+A among the OEMs (it’s not what you think).

Executive Ledger

• The Catalyst: Carrier bought partner 75F and sold Noresco to LS Power-backed Opterra, marking a bigger move into controls and a diminished focus on peripheral energy services.

• The Market Impact: This marks yet another larger OEM buying a smaller innovative technology firm. We compare the key deals below, but 2026 has been more active than we expected.

• The Premium Verdict: The trend this reinforces is more significant than the specific deal itself. A new competitive map is emerging - something we speculated about back in 2024, when first releasing our capital efficiency analysis. With fewer homes for smart building tech innovators and continued difficulty raising money from VC/PE firms, the smaller and mid-sized innovators may want to start considering the strategic options for their businesses.

Key Context

There is already a lot of engagement and familiarity between 75F and Carrier. It’s not surprising that that Carrier ended up buying the business: Carrier has a front row seat into how 75F operates and already sells the solution through its channels.

This also fits with a topic we shared in the newsletter a year or two ago, when we wrote about companies that are aligning their controls and HVAC businesses. Specifically for light commercial HVAC (e.g., rooftop units), there is an opportunity to bundle controls and connected thermostats. Carrier’s acquisition is another example of this trend at work.

The other big news: Carrier is selling the Noresco ESCO (performance contracting) business. In fact, it was announced and then closed within about a week. Despite being a scaled business in a fairly known and mature industry, there was very little fanfare or explanation, but we’ll share our take on what Carrier was thinking. Opterra, an old business that is back to operating under the legacy name, made the acquisition. LS Power acquired Opterra last year from Engie. We wrote about that earlier in the year, when Engie sold the “Impact” business to Arcadia.

Noresco was acquired by Carrier about 20 years ago, and is a fairly standard ESCO (energy service company or performance contractor). We did not anticipate this divestment given that, typically, this business model enables an HVAC company to gain multi-decade relationships with clients and creates a new channel to sell equipment. The energy savings finances the equipment upgrades, making HVAC and controls a “zero capex” decision while still delivering capital improvements.

75F in focus

Let’s go back to 75F. The company has been around for over 10 years, and it grew as a next-generation wireless controls platform. They offer hardware, software, and started growing and becoming a much more household name around the pandemic, especially as they were able to offer what they call ‘epidemic mode’ for buildings. Their go-to-market was typically through controls integrators, which makes sense here in America because it is the primary way to sell hardware-based controls. But in recent years, 75F became more focused on OEM relationships, Carrier being the best example. But, Siemens also invested in 75F and the firm partnered with Daikin in 2021.

75F has also moved away from having a fairly closed product to offering their own Tridium JACE, which has become a bit of a requirement to succeed in control these days. Notably, Carrier has been less Tridium-centric than most of its OEM peers.

Deal in focus

JLL reported earnings this week and shed some light on the same analyses we covered in our special two-part analysis earlier in the year (Part 1 and Part 2).

First, JLL updated the current value of its proptech venture portfolio (Spark) to $350M; it’s hovered around this value since early 2025. No updates on the total funding deployed, though our last benchmark on that metric is about $450M.

Second. JLL no longer reports its “Software” unit as a separate reporting entity, but does provide some top-line revenue, which was $58M in Q2 (up from $56M in Q2 2025). This business remains somewhat flat, but JLL’s CEO noted after an analyst question on the earnings call this past week:

Q: Can you talk a little bit about the pace of adoption for your software and tech solutions and the outlook for these initiatives to accelerate profitability this year?

A: (JLL’s CEO) Well, as you know, we moved our software and technology business into our overall rents P&L. We promised to the Street that this will be now profitable in 2027. It was profitable in the fourth quarter of 2026, and we are – after the two quarters, we are well ahead of our own plan. So, the move has turned out to be absolutely the right move. A lot of friction points which we had before have disappeared. And so, from a profitability point of view, it’s going really, really well. And we are also expecting a bit more revenue growth in that whole sector coming the second half of the year.

Aamidor Consulting lens: JLL appears to continue to deprioritize its Spark portfolio and the software business. While committing to a profitable software business in 2027, and noting that this goal is on track, the 10-Qs no longer provide the numbers. That said, the firm is shifting it focus to its AI strategy, and while not sharing many details or metrics, JLL’s CFO noted:

“We feel very good about the investments we’re making around data and AI specifically and the support to the momentum that, that is providing.”

JLL remains an interesting firm to track given the visibility its provided around its proptech investments and its software business.

Let’s start with Brightly / Siemens Asset Management

• The Catalyst: Siemens rebranded Brightly, its 2022 acquisition, to Siemens Asset Management, but kept the product largely unchanged. .

• The Market Impact: This continues a long line of larger industry incumbents acquiring asset and facility management software businesses; which typically are larger and more traditional SaaS models than other smart buildings innovators.

• The Premium Verdict: Siemens and Brightly have both been fairly acquisitive in recent years, and while this rebrand doesn’t change much on the ground, it is a sign of Siemens’ strategic intent to invest in asset management (including potential future M+A).

Key Context

The Brightly acquisition happened around the same time that Trane acquired Nuvolo and JCI acquired FM:Systems. Later, Schneider took a 90 percent stake in Planon and more recently, Autodesk acquired MaintainX. And, there’s also Rockwell Automation buying Fiix. But, it’s rare for these firms to rebrand the software offerings - the closest is Rockwell moving to a “Fiix by Rockwell” model.

But, the story of Brightly is one of nearly a dozen acquisitions and growth geographically and across use cases, as illustrated in our simple market map:

Normal launched a native fault detection (FDD) feature that automatically applies standardized ASHRAE Guideline 36-based rules across equipment fleets using auto-classified data, eliminating per-site rule configuration while providing explainable diagnostics and built-in backtesting.

Aamidor Consulting lens: This is an intersection of the independent data layer and one of the most adopted smart building analytics offerings: fault detection. For a few years, there has been discussion about the need for an independent data layer. Conceptually this is correct, but we’ve seen quite a bit of variation in how that term is defined and used (similar to many technologies in our industry!). And, in the marketplace, firms are moving away from just providing a data layer (which may deliver an enabler to an outcome, but not the outcome itself). For example, Arcadia bought Engie Impact, becoming a full-stack energy management solution. Earlier, Specifx was acquired by XOi, which has wide aspirations beyond just HVAC asset data. And now Normal is moving into the application layer. Additionally, there is a fair bit of industry chatter about: (1) what happens to point solutions in the applications layer when AI can deliver the same value (but can it? see below for our take), and (2) the related speculation that these analytical applications will eventually just move into the building automation systems (or being bundled into a service contract). In reality, this market won’t move holistically one way or another - it isn’t black or white - we’ll probably see all these approaches continue to have some scale.

Market analysis

In April we wrote our first piece about how AI is impacting our industry. It was a purposefully open and exploratory piece. At the same time, we noted that we’d have more to say on the topic. This is the first follow up piece. Specifically, we’re sharing a draft framework on how we’ve observed AI is being applied in Building OpTech and smart buildings. This is applicable to both owners/operators of real estate assets and the vendors that serve them. We also address a recent Building Ventures piece about agentic AI in building operations, as it is aligned with some of our newsletter analysis, and clearly is related to our overall framework initially shared here.

Moreover, we’ve seen an uptick in M+A and see that continuing: JCI bought Nantum AI, Trane bought Brainbox AI and even the Autodesk acquisition on MaintainX had significant AI messaging. This continues to be a big opportunity and larger OEMs want to buy some technology to supplement what they’re building internally.

Executive Ledger

• The Catalyst: The emergence and adoption of generative AI is changing how all technology works - from development and deployment to the core economics of the offerings themselves. That’s cascaded down to Building OpTech, which may be on the backend of overall technology trends, but can certainly benefit from AI.

• The Market Impact: “AI powered” is becoming a required feature, simply because every other vendor says they have it too. But that risks a marketing-led approach, which may disillusion buyers and users.

• The Premium Verdict: Paid subscribers receive our draft framework to better sort signal from noise. Vendors should consider various investment approaches and buyers/users can focus more on where they have more impact. While we’re releasing a draft framework, we’ve stress-tested this and look forward to refining based on feedback and continued client work on the topic.

Key context

At this point, nearly every vendor in our market claims to have an AI solution. However, there’s no general definition of what “AI smart buildings” is, and many of these firms previously had machine learning capabilities and other analytical features that could now simply be rebranded as “AI”. Some of this is a market imperative: there is a multiple premium for AI-powered offerings. And, if all your peers say they have an AI solution, don’t you have to say you do, too? Additionally, the AI valuation premium helps both the vendors and their investors. AI might help startups that didn’t grow into their last valuation now apply a richer multiple to their revenue. And, investors may be able to raise their next fund based on having a big share of an emerging AI powered innovator. We’ve also seen the same TAM trend that we’ve criticized in the past (HERE and HERE) - the TAM is now bigger since AI is involved (or is it?).

And, an example about the TAM point: we’ve challenged the notion that the market for light controls is as large as other vendors and analysts indicate (e.g., there’s a significant number of commercial buildings that don’t heat or cool their space). At the same time, AI may drive costs down and expand demand incrementally. Interestingly, earlier this year, Uber said exactly this is happening in LA and Austin, where it partners with Waymo. For our industry, could something similar happen? We’re not sure - about 60 percent of all commercial buildings cool at least half their square footage and about 60 percent of buildings also report that they have regular HVAC maintenance (CBECS makes it difficult to determine if these are the same 60 percent of buildings, but they probably are similar cohorts). There still could be some demand that incrementally is enabled by a lower cost AI offering, but it doesn’t appear to be a ‘screaming buy’ based on our initial review.

And, for years, we’ve seen startups and innovators that are very bullish on the future - though seemingly not always able to fulfill those aspirations. See past posts from Lucid (Joe was an early leader at Lucid ~10 years ago), Infogrid + Aquicore (before the firm became Noda) and even Cohesion 2+ years ago. While not always an AI message, AI happens to be the new answer as to how we meet the massive opportunity in the market.

The AI push has created some skepticism on the part of buyer and users - who actually are less dependent on vendors to deliver technology (given that foundational AI models are accessible to them directly, too. We’re very bullish on AI in building operations, but also admit that there’s currently a lack of much clarity in our market - what is AI, how does it actually change the equation of technology in Building OpTech, etc etc? That’s what we seek to address with the framework we share below.

As an initial foray, we have drafted an initial take at how to think about AI in smart buildings. Our draft framework seeks to separate some of the noise we’ve observed.

Before we get to the issue, another item of note: Late last week, our friends at Building Ventures published a thoughtful piece on the gap between finding waste in building and actually addressing it. This indirectly focused on Noda, a recent investment for the firm. Building Ventures notes that agentic AI will address this - our view is that there’s been more activity connecting this workflow than some might realize. Regardless, a number of the key themes in the write up echoed points we’ve made here. We shared some quick thoughts on Linkedin, and will share more thoughts in a subsequent issue.

Deal in focus

Albireo Energy acquired PASCO, an integrator based in upstate New York which represents Alerton (Honeywell) and Distech Controls (Acuity). It’s part of a typical PE-backed rollup of local and regional branches. See the acquisition section below for more details.

Aamidor Consulting lens: We’ve seen far more HVAC-focused rollups compared to controls-first firms; but Albireo is a leading example of the latter. This acquisition announcement notes that Pasco will have access to Albireo Energy’s remote operations center, and Albireo also has been a market-forward on master systems integration (MSI) services, which makes sense. Albireo represents all major controls OEMs, but only in specific regions. MSI capabilities can form the basis of the connectivity for a client that has controls from one OEM in one location, and another OEM in another location. This rollup model does not completely solve a customer’s issues in this circumstance, but MSI services do help.

Key context and background

Honeywell recently held an investor day for Honeywell Technologies, the new name of the remaining part of the business which includes building automation and industrial automation (which includes process technologies). This is a more focused business, and the related moves - spinning off advanced materials (now called Solstice) and aerospace (now called Honeywell Aerospace) is similar to what peers have done, such as Carrier and Trane (pure play HVAC with some building controls) and JCI (pure-play HVAC and building controls to larger and more complex buildings).

The recent presentation and slide deck provides significantly more detail on Honeywell’s market position and future direction than their quarterly earnings calls. We’re sharing the key points from the deck and references during the call. Overall, there are a number of real differentiators that Honeywell is bringing to the market, though their opportunity in the market is similar to peers.

And, this split is not so surprising. In fact, it is par for the course in our industry, and one in a long line of firms becoming more focused, We continue to track these moves, and the latest edition of our de-conglomeration tracker is included below:

DEAL Desk: Autodesk’s operations aspirations, starting with MaintainX

Aamidor Consulting continues to provide insight to smart building innovators and decision-makers in this section. This month, we look at Autodesk’s $3.6B acquisition of MaintainX.

It’s rare to see smart buildings-related acquisitions in the billions of dollars (Brightly was the last one), but Autodesk jumped in building operations in a big way, announcing an acquisition of MaintainX.

Quick details: MaintainX raised $254M total, and was acquired for $3.6B, a healthy premium over its $2.5B valuation in 2025, when it raised a series D. With a 2026 expected ARR of $135M, the firm traded at a 27X multiple - that’s right in line with where we’ve seen other AI-powered, fast-growing firms in this industry trade. But, MaintainX is quite a bit bigger that most of the other relevant AI-powered comps in our market. In 2025, MaintainX had a $115M ARR run rate, which is very good growth. We also profiles some of the other key metrics over the past 7 years, which actually does look like a hockey stick (rare for our industry!)

Autodesk’s core is design software, however they have been expanding to adjacent verticals with a playbook that will be used for MaintainX. In fact, the firm sees three parts of the building lifecycle, and now serves all of them:

Autodesk also notes that while the individual design and construction processes for a building take 2-6 years, operations can last 50 years. And, as a total cost of ownership, operations makes up 70-80 percent of the spend. We agree with all of this - and it’s not unlike a graphic Belimo circulated to its investors a few years ago, citing 85 percent of the cost during the “use phase”.

Autodesk’s playbook was first run in construction software: A few years ago, Autodesk jumped into construction in a big way when it bought PlanGrid, Assemble Systems and BuildingConnected; these acquisitions were over $1B in value, but have yielded current annual revenues of about $600M (note, some Autodesk commentary refers to $1.8B spend on construction-related acquisitions). This construction unit is “growing north of 20 percent” according to Autodesk’s CFO. And almost all of it is recurring revenue from software. When Autodesk bought PlanGrid in 2018 (for $875M), it expected to have $100M in annual revenue. The playbook led to significant growth since acquisition, a unit that continues to grow outpace Autodesk’s overall growth, and a strong fit with Autodesk’s software model. In fact, the construction business is growing faster than Autodesk’s legacy design unit.

And, Autodesk has shown interest in building operations for 10-15 years. The firm has been a fairly active venture investor for 10+ years, and they’ve made other building operations moves, as we note below. But this is a much more ambitious step, continuing a consistent view that operations is a part of the lifecycle in which it seeks to play. Autodesk appears to have decided the best way to do this is by making a very large acquisition.

So, Autodesk has said it is going to run the ‘construction software playbook’ in not so many words for building operations. They refer to MaintainX as the ‘cornerstone acquisition” and note an intent to “build around it”. And we believe this is a sound approach. But it has pretty significant implications for our industry: a new competitor, but also a new potential acquirer, and a more significant partner opportunity, among other potential outcomes.

Interestingly, many of the other OEMs in this market have taken a different approach: buying smaller software businesses for technology innovation, but without enough revenue to stand alone. In some cases, the OEMs have made larger acquisitions, but the business models are different: OEMs typically sell hardware and services, so a software firm may not be as complementary. Autodesk is not only a software business at its core, but it is buying another large software business to extend the lifecycle of its legacy software units.

Looking at comparable acquisitions from the OEMs, they look similar to MaintainX, but the parent firms are different, as noted above. Siemens acquired Brightly, Trane bought Nuvolo, and JCI now owns FM Systems (along with Schneider holding a majority share of Planon). Given the size of these facility management businesses, it is no surprise that they are logical acquisition targets. Should the OEMs focus on other large acquisitions instead of the smaller innovators? Time will tell…

Autodesk also noted intent to “build around” MaintainX, which may mean more acquisitions. The OEMs also have made related smaller acquisitions, such as:

• Brightly acquired Setmetrics, a small energy modeling firm in Australia

• Trane acquired Brainbox, which may have been growing quickly, but was still a relatively small player in the vast smart building market.

• JCI just acquired Nantum, with a few dozen employees.

With the exception of Brightly acquiring Setmetrics, these acquisitions are detached from the larger software platforms that the OEMs also acquired (at least for now). But Autodesk’s next steps are likely to continue using MaintainX as the anchor: we assume future smart buildings and building optech acquisitions will be merged into MaintainX.

• Performance of JLL Technologies, as an independent business unit within the firm (which includes some of JLL’s smart building and facility management software units).

• JLL’s internal smart building and sustainability product strategy, deployed scale over time, and acquisition history. This also includes a full timeline and review of JLL’s internal smart building and sustainability products, including the scale these products reached, for the past ~15 years.

• What this means for the industry, and what we can learn from JLL’s performance.

Analyzing JLL Technologies’ smart building strategy

As part of our deep dive into JLL’s focus on smart buildings, we also looked at JLL’s technology strategy, primarily via JLL Technologies. This business unit, formed in 2019, has its own financial reporting, which is unique among peers. Moreover, beyond JLL Spark’s investments, JLL Technologies has been very acquisitive and also has invested in its own technology products. Like our analysis of JLL Spark, we also have a public data set about the performance of JLL as a smart building technology buyer, builder and implementation firm.

JLL has a strong focus on using technology to change how it delivers value and what it can offer its clients. This is broadly across all business units, such as its commercial real estate brokerage, but is specifically pronounced in facility management (a close cousin of smart buildings). Moreover, JLL reports financial performance for “Software and Technology Solutions”, which we cite below - but views JLL Technologies as a cross-cutting organization that works across the entire organization.

In the early days, JLL’s technology strategy was quite pronounced among energy and sustainability data management. In fact, as far back as 2010, JLL provided data on how many client buildings were on its internal sustainability and energy reporting and analytics platforms. The firm appears to be a far way from the peaks in the late 2010s, with 195,000 individual buildings on various platforms worldwide in 2017. In the 2024 sustainability report, JLL cited just 20,000 client buildings on internal solutions. (Note, we unpack these platforms, such as JLL Portfolio Energy and Environment Reporting System, or PEERS, and OneView Energy and Sustainability Analytics (OVESA), below)

Another comp to this data set, from Engie Impact: Arcadia acquired a firm that appears to have limited growth in recent years, as we highlighted in that Deal Desk issue. But, in the case of Engie Impact, there also has not been a significant loss of client sites. And, overall, the number of Energy Star benchmarked buildings is going up, steadily. While we haven’t identified a single sustainability data platform that is taking share from the incumbents, it does appear that these legacy players have struggled with growth in recent years. This will be a topic of future analysis in this newsletter.

JLL has been quite transparent about its use of technology for about 15 years. And, it has realized significant success with this strategy. Later in the 2010s the firm became even more bullish, noting that there were “early successes in [the] digital journey” and estimating that “digital services and products [would] contribute over $100 million in direct revenues". This was as the firm was forming JLL Technologies and JLL Spark. Since this time, the strategy expanded as JLL continued to support Spark, make technology acquisitions, and invest in its own products. And, while technology revenue grew in the years after 2020, it appears to have stalled in recent years. Below we include JLL Technologies financial performance over the past 6 years.

Moreover, profits are fairly inconsistent, and in most quarters, JLL Technologies has lost money. This is unique for JLL, as its core services businesses regularly turn a profit. And, during the Q3 2025 earnings cycle, in November 2025, JLL announced a few changes to its reporting:

• “We are isolating the activity related to the Proptech Investments portfolio from the Software and Technology Solution segment.” and “The activity associated with the Proptech Investments historically reported within Software and Technology Solutions will be presented outside of the reporting segments in “All Other.”

• As for the JLL Technologies business, this will be reported as a segment within another line of business: “Effective January 1, Software and Technology Solutions will run as a fifth business line within the Real Estate Management Services segment, alongside Workplace Management, Project Management, Property Management, and Portfolio Services & Other.”

• As part of this update to its reporting approach, JLL’s “Software and Technology Solutions” group achieved Q1 2026 revenue of $57M, nearly flat from Q1 2025; however, EBITDA for this unit is no longer reported (10-Q here; presentation here).

We interpret this reporting change as leading to potentially less visibility on the performance of the technology solutions and early-stage investments moving forward, though JLL does break out some financials within the “Real Estate Management Services” segment.

But, beyond these top line numbers, JLL Technologies also has been quite acquisitive and also active in developing and deploying its own solutions. Below we dig into both aspects of the firm’s strategy.

JLL Smart Building and Sustainability-related Acquisitions

JLL has made a number of key smart building and facility management software acquisitions in recent years:

Building Engines is the largest acquisition in this category, with JLL paying $300M in 2021 for the facility management platform. Building Engines is similar to other products that JLL owns, such as Corrigo, and aligned closely with its focus on delivering services and technology solutions to its integrated facility management (IFM) clients, which typically are larger owners with complex buildings.

Building Engines also made a number of acquisitions before JLL acquired the business, and in 2019 it publicly stated that it was actively looking to buy other firms:

• AwareManager (acquired May 2018) provided similar capabilities as Building Engines, expanding the overall reach and scale of the combined firm.

• Real Data Management (acquired May 2019) provided data visualization solutions for asset management.

• Synlio (acquired December 2019), which developed RFP software for commercial real estate owners and operators.

• Ravti (acquired January 2021) provided HVAC procurement and asset management software and services.

• Log Check (acquired in June 2021) provided a mobile-first platform for facility checks and inspections.

Moreover, Building Engines’ investments in Prism from 2019, a new platform, appear to have been supported and expanded under JLL after the acquisition. As we noted above, JLL was a leading acquirer in the market, on par with some of the OEMs (who remain the most active acquirers).

JLL also acquired Hank, more squarely in the smart buildings category, in early 2022. Hank was acquired at a very early stage, with limited detail on the firm’s scale. Hank sat squarely in the automated system optimization (ASO) category of smart building technology, providing two-way control to HVAC systems, automatically delivering changes to save energy and improve indoor comfort. It’s unclear where Hank stands today, but we have some insight, below.

Envio, likely the least well-known of the acquisitions, was acquired by JLL later in 2022. JLL noted that this acquisition would become a foundational layer that delivers a “differentiated platform for delivering intelligent and sustainable building solutions that disrupt current building operation models with more flexibility, speed, and optionality into how spaces are planned, managed, and serviced.” However, since the acquisition, there has been much less detail on JLL’s use of the technology or how it has been integrated into its operations. We also have not been able to find much information on this new platform. Envio was based in Germany, with more European clients than US-based (though the firm did have an international footprint).

Intro

Smart buildings has been a prominent theme for investors over the past years. And, after 5-8 years of significant capital inflows and hundreds of companies that have formed, we can start to make some conclusions about returns and performance. Moreover, we can look at one investor that has been much more transparent about its investment activities: JLL Spark, the corporate venture capital arm for JLL. JLL also has reported on performance for JLL Technologies - specifically the “Software and Technology Solutions” unit - independently from other operating entities. JLL Technologies now serves as a broad group of technology initiatives, working in all the other parts of the business. These businesses are FAR more broad than smart building technology and sustainability data management, however in part 2 (coming next week) we do zoom into those offerings and provide context on the broader JLL technology approach.

Below we share all the relevant public data, analyze the performance and consider what it means for smart building and decarbonization technology.

This is not a critique of JLL specifically - it is a broader analysis of the industry using a hard-to-find data set (which in this case happens to be publicly available).

There also is some context to share:

• Initially JLL Spark appears to have started in an R&D phase, with a target of $100M to invest, but quickly deploying much more capital. 3 years later, the firm launched JLL Technologies. JLL may see benefits of this R&D period beyond investment returns.

• JLL also has integrated a range of technology solutions across the various business units - driving revenue growth and profitability for the entire entity may be a bigger focus than VC returns or performance of the JLL T business unit itself.

• JLL’s commentary indicates that they will continue to make early-stage proptech investments and technology investments across its organization, and that data/AI are core to its future. Smart building and sustainability technology appears to be less strategic to the firm moving forward.

• And, as you may know, JLL’s focus is much broader than just smart buildings and sustainability data management, and those could be considered adjacent and even non-core. JLL is a leading brokerage for commercial real estate, with a strong facility management business. Additionally, its LaSalle unit owns and leases commercial real estate. However, smart building tech is an area of significant investment by the firm and thus are worth investigating.

The firm’s 2026 Investor Day, held in March, also focused on the overall technology strategy (and the ongoing commitment to these investments and activities). A few slides that caught our eye:

In fact, in that presentation, JLL noted that it’s now ready to scale its technology investments, based on the experiences and R&D it has conducted over the past ~10 years. But, there’s limited detail on smart buildings or sustainability, specifically.

Overall, JLL does appear to be focused on more closely integrating its technology offerings (and technology deployment and consulting services) into its other operating entities. This is a logical next step, and below we look at the past 10+ years of activity and performance from both JLL Spark and JLL Technologies, based on a range of sources..

JLL Spark in focus

JLL Spark was formed in 2018 with an initial mandate to invest $100M over the following 5 years. Over the past ~7 years, JLL has invested in over 55 firms across proptech, with at least $450M of capital deployed. The firm hit $340M invested by its fourth anniversary in 2022, but has slowed down over the past few years. While a subset of the overall portfolio, the firm has made multiple investments in at least 6 firms that could be included in the smart building category (and more could be considered adjacent to smart buildings).

Additionally, JLL has shared significant detail on the performance of these venture investments in its quarterly earnings reports. In many quarters, the firm shared at least two key metrics: total capital invested by Spark and the current value of the Spark portfolio. We’ve reviewed the firm’s quarterly financial disclosures, including their 10-K and 10-Qs, earnings call transcripts, and also investor presentations to piece together the performance of this portfolio over the past years. Again, this is proptech-general, not smart buildings specific, but given that JLL Spark has made a number of smart buildings investments, the data provides useful context.

Here we share the core data and our analysis - and what it means to early stage investing in this space more generally.

AI was a hot topic, though the discussions have matured since last year (when deploying AI in operational technology use cases was pretty new). Joe presented a talk on “how to buy smart building tech” - we’ll write that up and share in a subsequent issue. There may even be a quick video, too.

In this issue, we unpack Arcadia’s acquisition of Engie Impact.

TL;DR

1. Arcadia has moved into the application layer in a big way, which is sure to have competitive ramifications in the market.

2. With this and other recent moves, Engie has largely unwound its 2010s focus on being a lifecycle energy services provider (Engie called this a “comprehensive energy service model”.)

3. Engie Impact is a quality asset but appears to have stagnated in recent years; we unpack what its revenues might be, how much Arcadia may have paid, and who else might have been interested in this asset.

Summary

Despite our skepticism going into 2026, there have been quite a few deals of note.

This piece covers Arcadia’s acquisition of Engie Impact. There’s a lot of history here, across a few different firms, and we’ll unpack it all. Our analysis includes looking at the following firms:

• Ecova, the predecessor to Engie Impact, which started as a subsidiary of Avista Utilities called Advantage IQ, and focused on utility bill pay services (read: identifying and eliminating late fees and billing errors, primarily for multisite organizations)

• Engie (formerly GDF Suez, the gas utility of France), which scaled up via multiple acquisitions in the US, but has largely unwound those moves in recent years.

• Arcadia, which started primarily as a community solar provider, but has made a significant shift into energy data management and now offers a range of services on top of that data platform (while also splitting out the community solar business into a different entity).

• OTI rebranded to Adaptive Buildings to better reflect its long-standing focus on delivering building performance outcomes by continuously optimizing and connecting systems based on real-world usage. OTI is a longstanding firm in the market, but the brand re-emerged when BuildingsIOT sold its software platform to Noda.

• Encycle Technologies, Inc. launched Chorus AI™, a generative AI-powered conversational interface that enabled facility teams to access real-time HVAC insights, streamline workflows, and accelerate fault diagnosis and resolution across building portfolios.

• Walmart launched Upstream Facility Services to extend its in-house maintenance expertise to businesses nationwide, providing HVAC, refrigeration, and general facility services with faster response times, predictive maintenance, and real-time operational visibility.

  • Our take: This is very similar to something Amazon would do. For now, no direct smart building implication, other than Walmart being an even more significant potential partner/client.

  • Our take: Verantum is not the first firm to focus more on asset management and intelligence, an emerging trend for firms that previously were stuck in an energy savings/efficiency value prop. At the same time, energy rates are rising significantly…

• Tesla, Google, and Carrier launched a coalition to improve grid utilization, aiming to unlock idle capacity and potentially save over $100 billion in energy costs over the next decade.

  • Our take: Carrier has been making some interesting moves on the residential side, starting with a hybrid heat pump. But, building out the ecosystem also is important. Google’s Renew Home also is involved, along with SparkFund and Span.

• ENTOUCH announced that Eric Denton succeeded Jon Bolen as CEO as part of a planned leadership transition driven by long-term succession planning.

• Phoenix Energy Technologies rebranded as Verantum to reflect its expansion into data-driven HVAC/R lifecycle management and operational performance solutions.

• Eaton launched Brightlayer Energy, an AI-powered energy management and optimization software designed to improve building efficiency, reduce costs, and support emissions compliance across global markets.

  • Our take: Brightlayer has been a cloud-based offering for a few years, and this is more focused on energy management within that product. It also fits with one of our 2026 predictions - that this year would be a decision point for OEMs on digital strategy. Like Trane last month, launching Trane Cloud, we’ve seen the OEMs continue to invest in their digital and cloud-based offerings (no pull back or pivot).

We have a big episode to kick off April - and that’s not a joke!

Let’s get right to it:

• EnerNOC is no longer active in energy management software, as it was acquired by Enel and that business was spun out as Hatch (acquired by Measurabl). But, while the firm was public in the 2010s, it provided a wide range of interesting data points that can inform current growth strategies in smart buildings. See below for our full analysis, and a teaser for all subscribers just below.

• A number of acquisitions, with a few in the data center space. Also, WiredScore was acquired and Asuene made another purchase (this is a name that you probably should know - more to come on this in future issues).

• There also are a number of notable partnerships, including Optiml, aedifion, CxApp, Butlr, Disruptive Technologies, and more.

• The public firms section includes a variety of interesting news items, including an interesting take on the recurring revenue nature of Trane’s business, an interesting presentation from Generac, and earnings from Acuity and CBRE.

As a longer preview, our market analysis section includes a deep dive into EnerNOC’s performance, their estimates of TAM and their inability to growth into that massive market opportunity. A short excerpt is just below:

EnerNOC was a public company for nearly 10 years, before being acquired by Enel. There are a few years worth of Investor Day presentations where they lay out their EIS thesis and the performance of this business. And, there are robust financial reports for all those years as a publicly traded firm. In this article, we dive into the TAM estimates, how it worked out, and what it means for innovative companies looking to grow in this market today.

This is a cautionary tale for early stage firms that are raising large amounts of capital justified by a large TAM. It also is a natural continuation of our recent article about market fragmentation. One takeaway: there is not a single market for smart building and energy management technology, there are many markets, and they can be logically grouped as a category (but they are not a category that a single vendor can dominate). Therefore, most TAM estimates overstate the market opportunity for any individual firm. We also wrote an article last fall on the controls TAM, which is a ceiling (for now) on the smart building market TAM. But, more broadly, we are increasingly convinced that there is no tens-of-billions of dollars of TAM for an individual vendor to exploit. There may be a tens-of-billions of dollars of TAM that many different vendors can each grab a share of. Below we write more about these concepts in light of EnerNOC’s performance years ago.

• Optiml, Green Fusion, and aedifion partnered to connect building-level energy optimization with portfolio-level decision intelligence, enabling real estate owners to accelerate decarbonization while improving efficiency and capital planning

  • Our take: Optiml recently raised money, as did Cambio - both fit into our Enterprise decarbonization analytics (EDA) concept. Given the overlap between different offerings, a partnership like this makes sense for the buyers and users, and reduces product overlap amongst these firms.

• Adding to this, Optiml and Scaler partnered to integrate real estate data infrastructure with decision intelligence, enabling institutional investors to optimize capital allocation, sustainability strategies, and portfolio performance through a unified, data-driven system.

• CXApp Inc. expanded its AI workplace solutions by partnering with TouchSource to integrate agentic AI into over 11,000 commercial property touchpoints across the U.S. There is much more below on CxApp, as the firm reported earnings and has been undergoing a significant transition in what it sells and how it sells.

• Data centers continue to be a big area of focus, and EPRI, NVIDIA, Prologis, and InfraPartners collaborated to develop distributed micro data centers near substations, aiming to support AI inference demand while improving grid efficiency and reducing transmission strain.
