1. Acceptance of Terms
By accessing or subscribing to Off Market Equity (the “Publication,” operated by StarFishPrime LLC — “we,” “us,” “our”), you (“subscriber,” “reader,” or “you”) agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not access or subscribe to the Publication.
The Publication is delivered via Substack, Inc.’s platform. Substack’s own Terms of Use and Privacy Policy also apply to your use of the platform.
2. Nature of the Publication
Off Market Equity is an editorial research publication that surveys and reports on publicly available information regarding real estate in New York City and other geographies.
We publish:
Narrative articles about specific real properties whose public records indicate distress signals
Educational content explaining how to interpret real estate public records
A monthly spreadsheet (Founding Member tier) aggregating publicly available distress-signal data per property
What we are NOT:
We are not a licensed real estate broker, agent, salesperson, attorney, financial advisor, tax advisor, or investment advisor in any jurisdiction.
We do not represent buyers, sellers, lessors, lessees, or any party in any real estate transaction.
We do not solicit listings, take listings, or make offers to purchase on behalf of any party.
We do not collect commissions, finder’s fees, success fees, referral fees, or contingent compensation on any real estate transaction.
We do not provide investment, financial, legal, tax, or other professional advice.
We do not guarantee any outcome, return, deal, or transaction.
Everything we publish is research and editorial commentary based on public records. Subscribers are solely responsible for their own due diligence, decisions, and outcomes.
3. Public Records and Information Accuracy
3.1 Sources
All factual information we publish about specific real properties is derived from publicly available government records, including but not limited to:
New York City Department of Finance (DOF) property tax records and lien sale lists
New York City Department of Housing Preservation and Development (HPD) violations and landlord registrations
New York City Department of Buildings (DOB) violations and permits
New York City Automated City Register Information System (ACRIS) recorded documents
New York State Office of Court Administration (OCA) and NYSCEF civil court filings
New York State Department of State business entity records
United States Postal Service (USPS) vacancy data
These records are public and accessible to anyone.
3.2 No Warranty of Accuracy
We make no representation or warranty regarding the accuracy, completeness, or timeliness of any public records we cite or aggregate. Government data sources may contain errors, omissions, or stale information. Subscribers must independently verify any fact before acting on it.
3.3 Editorial Interpretation
Where we characterize a record, signal, or stacking of signals as “indicating distress,” “suggesting motivation,” or similar editorial framings, those characterizations are our editorial opinions based on observable patterns. They are not factual claims about any specific person’s circumstances, intentions, or financial condition. We use language such as “indicators of distress” rather than absolute statements about any individual’s situation.
3.4 Right to Correction
If you are an owner, manager, or party named in any Publication article and believe we have misrepresented the public record about your property, contact us with the specific item you dispute. We will review in good faith and correct any factual error promptly. Our correction policy is not a guarantee of removal of accurate public-record information.
4. No Personal or Sensitive Information
We do not publish:
Personal phone numbers
Personal email addresses
Social Security numbers, dates of birth, or other government identifiers
Medical or health information
Residential addresses of individual property owners or officers (we use business addresses on record only)
Bank account or credit information
Where individual names appear in published content, they appear only as they exist in publicly recorded documents (deeds, court filings, business registrations, HPD landlord registrations, etc.). We make a reasonable effort to use the same name representation as appears on the public record.
5. Subscription Tiers, Pricing, and Cancellation
5.1 Tiers
Free Tier: Includes one full property breakdown per week, educational content, and a limited preview of paid content.
Paid Tier: $7 per month or $50 per year (annual prepay). Includes everything in the Free Tier plus the full weekly basket, complete property dossiers, and a monthly hero feature.
Founding Member Tier: $1,000 per year. Includes everything in the Paid Tier plus the monthly NYC distressed-property spreadsheet, the full property dossier database, and additional research artifacts.
All subscription billing, payment processing, and access management are handled by Substack via Stripe. We do not store, process, or have access to your payment card information.
5.2 Renewals
Paid subscriptions automatically renew until canceled. You can cancel at any time through your Substack account settings. Cancellation takes effect at the end of your then-current billing period.
5.3 Refunds
Substack’s refund policy applies to all subscription transactions. We do not separately offer refunds outside of Substack’s policy. Refund requests should be submitted through Substack.
5.4 Price Changes
We may change subscription prices at any time. Price changes will not affect your current billing period. New prices apply at the start of your next renewal period. We will provide reasonable notice of any material price increase.
6. License Grants and Restrictions
6.1 Subscriber License
We grant you a personal, non-exclusive, non-transferable, revocable license to access and read the Publication content for your own personal or single-business use during your subscription period.
6.2 Founding Member Spreadsheet — Specific Restrictions
The monthly Founding Member spreadsheet is provided for the subscriber’s own internal evaluation use only. You may not:
Resell, republish, or redistribute the spreadsheet or any portion of it
Share the spreadsheet with non-subscribers, including via screenshot, copy/paste, or print
Use the spreadsheet to train machine learning models or build derivative datasets
Compile our data with other sources for commercial resale
Reverse engineer our scoring methodology
6.3 What You Can Do
Quote brief portions of free-tier articles in personal social media or other publications with attribution and a link back
Use property facts (which are themselves public record) for your own personal due diligence on a specific property you are independently evaluating
6.4 Account Sharing
Your subscription is for your individual or single-business use. You may not share login credentials with non-subscribers. Substack’s account-sharing terms apply.
7. Disclaimers and Limitations of Liability
7.1 No Warranties
THE PUBLICATION IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT ANY WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT.
7.2 No Investment or Legal Advice
NOTHING IN THE PUBLICATION CONSTITUTES INVESTMENT, FINANCIAL, LEGAL, TAX, OR REAL-ESTATE-BROKERAGE ADVICE. Any decision you make based on our content is yours alone. You should consult licensed professionals (attorney, broker, financial advisor) in your jurisdiction before making real estate decisions.
7.3 No Guarantee of Outcomes
We make no representations regarding the suitability, profitability, or outcome of any property or transaction discussed. Past performance of any operator, neighborhood, or asset class is not indicative of future results. Real estate involves significant capital risk.
7.4 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF THE PUBLICATION, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE PUBLICATION WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY OR (B) ONE HUNDRED U.S. DOLLARS ($100).
8. Indemnification
You agree to indemnify, defend, and hold harmless StarFishPrime LLC and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your use of the Publication; (b) your violation of these Terms; or (c) any action you take in connection with a property, owner, or transaction discussed in the Publication.
9. Privacy
Your use of the Publication is also governed by our Privacy Policy (forthcoming) and by Substack’s Privacy Policy. We collect only what Substack provides us about subscribers (typically: email address, subscription tier, and engagement metrics), and we do not sell subscriber information.
10. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of New York, without regard to its conflict of laws principles.
Any dispute arising out of or relating to these Terms or the Publication will be resolved exclusively in the state or federal courts located in New York County, New York. You consent to the personal jurisdiction of those courts.
11. Changes to These Terms
We may modify these Terms at any time. The “Last Updated” date at the top of this page reflects the most recent revision. Continued use of the Publication after a revision constitutes acceptance of the revised Terms. Material changes will be communicated by email to active subscribers.

13. Severability and Entire Agreement
If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in full force and effect. These Terms, together with Substack’s Terms of Use and our Privacy Policy, constitute the entire agreement between you and us regarding the Publication.
